Job Description

Job Summary
Company Secretaries are responsible for ensuring that an organization complies with standard financial and legal practices and maintains high standards of corporate governance.

Company Secretaries hold a strategic position at the heart of governance operations within an organization and act as a point of communication between the Board of Directors and company shareholders, reporting in a timely and accurate manner on company procedures and developments.

Provide in-house secretarial services in managing and administering day-to-day operation of secretarial practices or requirements and ensure completion or lodgment of statutory forms, returns and reports and the company's compliance obligations in accordance with the applicable rules and regulations associated to the group of companies.

Job Responsibilities

  • Ensure completion or lodgment of statutory forms, returns and reports and the company's compliance obligations
  • Assist and support in pre and post requirements for Board, Board Committees, Management-Level Committees Meetings including compilation of meeting papers, minutes, resolutions and statutory documents and ensure that the decisions of the Board of Directors are implemented accordingly.
  • Ensure best principles of corporate governance and compliance with statutory or regulatory requirements.
  • Execution of projects / assignments / corporate exercises.
  • Maintain updated Board Charter, Committees Terms of Reference and other compliance policy and procedure
  • Preparation of relevant Board, Committee and Shareholders resolutions for obtaining the necessary approvals.
  • Attending to Auditors for performing Statutory Audit and assisting in checking the audited financial statements on information related to secretarial for Warisan Group of companies.

  • Full and partial ICSA qualification.
  • 6-8 years working experience (Assistant Manager position) or minimum 4 years working experience (Senior Executive position) in company secretarial functions.
  • Well verse in Companies Act 2016, Main Market Listing Requirements of Bursa Malaysia Securities Berhad and other related laws and regulations.
  • Good command of written and spoken English.
  • Good inter-personal and communication skills with positive attitude.
  • Meticulous person with strong sense of responsibility, proactive and taking self-initiative.
  • Trustworthy, able to maintain confidentiality with high integrity.
  • Organised, committed and able to multi-task in a fast-paced working environment.
  • Proficiency in Microsoft Office applications, especially Microsoft Words and Excel.
  • Independent and able to work under stress.
