Job Description

JOB PURPOSE

To provide strategic leadership and oversight of the organisation's Integrity and Governance functions, ensuring sound governance, regulatory compliance, ethical conduct and organisational accountability.

DUTIES AND RESPONSIBILITIES

1. Strategic Leadership and Organisational Governance

  • Lead the overall Integrity and Governance functions to ensure alignment with the organisation's strategic objectives, Government directives, applicable laws, regulatory requirements and governance best practices.
  • Establish the strategic direction, priorities, annual plans, governance initiatives and performance targets of the department.
  • Advise the Board of Directors, Board Committees, CEO and Management on integrity, governance, ethics, compliance and organisational risk matters.
  • Drive continuous improvement of governance frameworks, policies, systems and controls across the organisation.
  • Lead enterprise-wide initiatives to strengthen governance maturity, transparency, accountability and ethical business conduct.

2. Integrity and Anti-Corruption Management

  • Lead the development, implementation and continuous enhancement of organisation's integrity and anti-corruption framework, including ABMS and Organisational Anti-Corruption Plan initiatives.
  • Provide strategic and operational oversight on matters relating to the department's functions, including but not limited to corruption risk management, conflict of interest management, asset declaration programmes and integrity assurance activities.
  • Champion integrity awareness, ethical leadership and culture-building initiatives throughout the organisation.
  • Personally lead or supervise all cases, especially high-risk, sensitive and complex integrity matters or verification processes involving senior management, Board-related matters or matters with significant organisational impact. Provide recommendations on preventive and corrective measures arising from integrity reviews, investigations and assessments.

3. Governance, Compliance and Advisory

  • Lead the review, development and enhancement of the organisation's governance frameworks, including but not limited to organisation-wide policies, Standard Operating Procedures (SOPs), Delegation of Authority Limits (DAL), Board governance documents and related governing instruments.
  • Provide governance advisory services to Management, project teams and business units by holistically considering prevailing policies, SOPs and practices to support sound decision-making processes.
  • Monitor emerging governance developments, regulatory changes and industry best practices and recommend organisational improvements.
  • Lead governance assessments, organisational reviews and governance improvement programmes.
  • Personally review and endorse governance reports, Board papers, governance opinions and recommendations for submission to Management and the Board, ensuring that all IGU-issued positions are consistent, well-reasoned, precedent-aware and defensible.
  • Seek consultation and input from relevant departments, including Internal Audit, Legal and other subject matter experts where appropriate, to ensure advice and recommendations are holistic, properly informed and defensible.

4. Complaint Management, Detection, Verification and Investigations

  • Oversee the end-to-end management of complaints, whistleblowing disclosures, detection, verification and investigation processes.
  • Direct, supervise and where necessary personally lead complex, high-profile or sensitive investigations involving misconduct, corruption, abuse of power, governance breaches or malpractice.
  • Ensure investigations are comprehensive, accurate, evidence-based and properly documented, with findings that are objective, defensible and supported by sufficient facts, records and analysis.
  • Review investigation findings, recommendations and corrective actions by holistically considering prevailing policies, SOPs and practices to ensure fairness, objectivity and compliance with relevant requirements.
  • Liaise with law enforcement agencies, regulators, auditors and other authorities where required.
  • Ensure effective implementation of corrective actions, lessons learnt and control improvements arising from investigations and reviews.

5. Board, CEO and Management Advisory

  • Serve as a trusted advisor to the Board, Board Committees, CEO and management on strategic governance, integrity, compliance, ethics and regulatory matters.
  • Prepare and present reports, recommendations and updates to the Board, Board Committees and Management.
  • Facilitate decision-making through independent governance advice and risk-based recommendations.
  • Seek consultation and input from relevant departments, including Internal Audit, Legal and other subject matter experts where appropriate, to ensure advice and recommendations are holistic, properly informed and defensible.
  • Support Board governance effectiveness initiatives and organisational governance enhancement programmes.

7. Stakeholder and Regulatory Engagement

  • Establish and maintain effective relationships with regulatory authorities, enforcement agencies, auditors, consultants and other key stakeholders.
  • Represent the organisation in engagements related to governance, integrity, compliance and anti-corruption matters.
  • Coordinate organisational responses to governance reviews, audits, assessments and investigations by external authorities.

8. People Leadership and Operational Excellence

  • Lead, mentor and develop departmental personnel to enhance capability, succession readiness and professional competence.
  • Allocate resources and workloads effectively to ensure delivery of departmental objectives.
  • Review and approve key deliverables produced by the department.
  • Continue to undertake hands-on leadership responsibilities including drafting reports, reviewing investigation findings, developing policies, conducting governance reviews, presenting to senior stakeholders and leading critical departmental initiatives where required.

QUALIFICATIONS

  • Bachelor's degree in any related field, with at least 10-15 years of relevant working experience. Experience in compliance, legal, audit, risk or industrial relations is an advantage.
  • Certified Integrity Officer (CeIO) by the Malaysia Anti-Corruption Academy, or any professional qualification/certification from the Malaysian Institute of Integrity (IIM) and/or other relevant associations.
  • Good understanding and knowledge of the National Anti-Corruption Plan (NACP), National Anti-Corruption Strategies, corporate governance, Government directives or guidelines, the Malaysian Anti-Corruption Commission Act and other relevant laws and regulations.
  • Hands-on experience in governance, risk management, and compliance.
