Manager, Company SecretarialWe are looking for an experienced Manager, Company Secretarial to support the Group's Board and Committee activities, corporate secretarial matters, statutory compliance, corporate governance and corporate exercises.
Key Responsibilities- Coordinate Board, Board Committee and shareholders meetings, including meeting schedules, notices, agendas, Board papers, minutes and action follow-ups.
- Assist in preparing Board of Directors and shareholders circular resolutions.
- Ensure compliance with the Companies Act 2016, Company Constitution, SSM requirements and other applicable statutory and regulatory requirements.
- Maintain statutory registers, minute books and corporate records, and monitor statutory filing deadlines.
- Coordinate annual compliance matters, including Annual Returns and other statutory filings, and ensure timely lodgement with SSM.
- Support the implementation of corporate governance policies and best practices across the Group.
- Assist with Board annual evaluations, Directors declarations and governance questionnaires.
- Provide corporate secretarial support for corporate exercises, including incorporations, restructuring, changes in directors and officers, capital-related exercises and other corporate actions.
- Liaise with internal stakeholders, external company secretaries, legal advisers, auditors, shareholders and regulatory authorities on corporate secretarial matters.
- Support due diligence exercises and corporate information requests.
- Maintain accurate and confidential physical and electronic corporate records.
- Assist in improving document management, corporate governance and company secretarial processes.
- Undertake other corporate secretarial, governance and administrative duties as assigned by the Company Secretary.
Job Requirements- ICSA qualified or ICSA finalist.
- Minimum 5 years of relevant corporate secretarial experience.
- Licensed Company Secretary with SSM or membership in a prescribed professional body will be an advantage.
- Strong knowledge of the Companies Act 2016, SSM requirements, Listing Requirements, Malaysian Code on Corporate Governance (MCCG) and other relevant regulatory requirements.
- Excellent communication, organisational and interpersonal skills.
- Good command of English, with strong minutes writing and documentation skills.
- Ability to work independently in a fast-paced environment as well as collaborate effectively within a team.
- Proficient in Microsoft Office.
