About The Job
- Preparing, reviewing, and negotiating high-stakes commercial and finance agreements (acquisitions, shareholders agreements, loan agreements, etc.) to protect the Group's interests.
- Establishing and maintaining compliance with all domestic and international laws and regulations across all Group operations.
- Proactively studying legal implications, developing risk prevention strategies, and managing the defense or prosecution of any company lawsuits.
- Managing and supervising all corporate secretarial documentation (AGM packs, minutes, resolutions) for all Group entities to ensure proper corporate governance.
- Serving as the internal legal advisor to management and operational units, providing verification and guidance on daily and strategic business matters.
About The Requirements
- Bachelor of Laws (LLB) or equivalent recognized legal qualification.
- 45 Years PQE in a commercial law firm or in-house legal department.
- Mandatory Expertise (Must Haves):
- Corporate M&A: Strong experience in corporate transactions, including drafting and negotiating acquisition and due diligence.
- Corporate Secretarial: Proven ability to manage corporate governance documentation (AGMs, minutes, resolutions) for local and overseas entities.
- Tenancy Agreements: Proficient in drafting, reviewing, and advising on tenancy, lease, and property-related agreements.
