Role Description

This is a full-time, on-site role for an Assistant Manager Corporate Secretarial, based in Petaling Jaya. The Assistant Manager will be responsible for overseeing corporate secretarial functions, ensuring compliance with statutory and regulatory requirements, and preparing necessary documentation for board and committee meetings. The role also involves managing corporate governance frameworks, liaising with regulatory authorities, maintaining statutory records, and providing advisory support to stakeholders.

Responsibilities

  • Manage preparation and filing of statutory documents, including circular resolutions, annual returns, and relevant forms in compliance with the Companies Act 2016
  • Ensure timely submission of statutory filings with SSM and relevant authorities
  • Maintain and update statutory registers, records, and minute books accurately
  • Coordinate and prepare documentation (including agenda papers and meeting packs) for board meetings, committee meetings and general meetings
  • Draft and/or assist in preparing board resolutions and meeting minutes
  • Coordinate execution of documents, including circulation for signatures and proper filing
  • Handle corporate exercises such as opening of bank, CDS accounts and changes in authorised signatories
  • Support compliance with Companies Act 2016, Bursa Malaysia Listing Requirements, Securities Commission guidelines and joint venture/shareholder agreements
  • Liaise with external auditors, external company secretaries and legal advisors (including overseas subsidiaries)
  • Assist in strengthening internal corporate governance practices
  • Perform ad-hoc duties as assigned

Qualifications

  • Proficiency in corporate secretarial practices, compliance, and regulatory requirements
  • Education: Bachelor's Degree in Law, Corporate Secretarial, Business, or related field. Professional qualification in corporate secretarial practice (e.g., ICSA/MAICSA membership) is an added advantage
  • Relevant Experience: 3–5 years of corporate secretarial experience. Prior experience in a related role within the property sector is preferred
  • Language: Excellent verbal and written communication skills in English and Bahasa Malaysia. Able to converse in Mandarin will be an added advantage
  • Familiarity with corporate governance frameworks and board/committee meeting documentation processes
  • Strong organizational skills, attention to detail, and ability to maintain accurate statutory records
  • Strong stakeholder management and negotiation skills
  • Ability to manage time effectively, prioritize tasks, and meet deadlines in a fast-paced environment
  • High level of ownership and accountability
  • Proficient in Microsoft Office Suites
