Role Overview
The Assistant Manager, Corporate Secretariat, will work closely with the Senior Manager and Head of Corporate Secretariat to ensure the smooth and effective execution of the Group's day-to-day corporate secretarial and governance activities.
Key Responsibilities
Governance & Advisory Support
- Provide support and guidance on statutory obligations, corporate governance matters, corporate structures and key business transactions.
- Ensure governance practices are aligned with business objectives and regulatory requirements.
- Monitor regulatory developments and communicate relevant changes and implications to stakeholders.
Entity, Statutory & Compliance Management
- Maintain statutory registers, minutes books and corporate records in accordance with applicable laws and governance requirements.
- Ensure statutory filings and submissions to relevant authorities, including the Companies Commission of Malaysia, are accurate and completed within the required timelines.
- Maintain and manage statutory information within the Group's e-library to facilitate efficient information sharing.
- Update and maintain records within the company secretarial system to improve data accuracy, real-time information management and compliance monitoring.
Governance Disclosure & Reporting
- Assist in gathering and consolidating information required for regulatory and corporate governance disclosures.
- Prepare and review statutory announcements and mandatory disclosures to ensure accuracy, timeliness and regulatory compliance.
- Assist in preparing corporate governance policies, reports and related documents in line with listing requirements and applicable guidelines.
- Leverage AI-enabled regulatory monitoring tools to enhance compliance monitoring and disclosure planning.
Board & Shareholder Administration
- Coordinate and manage Board and Board Committee meetings.
- Prepare meeting agendas, board papers and supporting documents, ensuring timely circulation and proper follow-up on outstanding action items.
- Draft resolutions, minutes and governance reports in accordance with regulatory and corporate requirements.
- Utilise board portals and AI-enabled tools to facilitate document distribution, digital approvals and minute-taking, improving overall Board administration efficiency.
Corporate Transactions & Projects
- Prepare, draft and review corporate and entity-related documentation to ensure compliance with applicable regulatory requirements.
- Provide corporate secretarial support for major corporate exercises, including land acquisitions, strategic partnerships, restructuring initiatives, capital raising and other strategic transactions.
- Work closely with Legal, Tax, Finance and relevant business/support functions to ensure proper alignment of governance documentation and smooth execution of corporate exercises.
Digital Governance & Process Improvement
- Implement and utilise digital board portals, data management systems and tracking tools to improve accuracy, transparency and responsiveness.
- Identify and adopt technology-driven solutions to enhance the efficiency, accuracy and effectiveness of corporate secretarial processes.
Requirements
Educational Background
- Bachelor's Degree in Corporate Administration, Finance, Accounting, Business Administration, Law, or a related discipline.
- Professional certification such as ICSA or MAICSA would be an added advantage.
- Possession of a Company Secretarial Practicing Certificate/License is preferred.
Experience & Technical Requirements
- Minimum 5–8 years of relevant experience, ideally gained within a public listed company.
- Prior experience in the property development sector would be highly advantageous.
- Solid understanding of company secretarial procedures, the Companies Act 2016, Bursa Malaysia Securities Berhad Listing Requirements, and the Malaysian Code on Corporate Governance.
- Proven experience in preparing statutory filings, corporate announcements, board/shareholder resolutions, and governance reports, as well as coordinating and managing Board and general meetings.
