We are seeking a suitably qualified Associate (12 years PQE) to join our Corporate & Commercial Practice. The successful candidate will be involved in a broad range of corporate and commercial matters, including transactional, advisory and project-based work, and will be expected to contribute effectively to matters handled by the firm.
This role offers exposure to a diverse client base across various industries and the opportunity to work on complex, commercially driven transactions. The position is well suited for an associate who is keen to build strong fundamentals in corporate and commercial practice, while gaining hands-on experience in transactions and advisory work.
Requirements & Qualifications
- Admitted as an Advocate & Solicitor of the High Court of Malaya.
- 12 years post-qualification experience (PQE) in corporate and/or commercial practice.
- Sound understanding of the Companies Act 2016 and general principles of corporate and commercial law.
- Experience in drafting, reviewing and advising on corporate and commercial agreements and transaction documentation.
- Strong written and verbal communication skills in both English and Bahasa Malaysia.
- Good organisational and time management skills, with strong attention to detail.
- Ability to manage multiple matters concurrently and work effectively under deadlines.
- Ability to work independently as well as collaboratively within a team.
- Professional attitude, strong sense of responsibility and willingness to learn.
Roles & Responsibilities
- Advise on and assist in a wide range of corporate and commercial transactions, including mergers and acquisitions, joint ventures, investments and corporate restructurings.
- Draft, review and negotiate corporate and commercial documentation, including share sale agreements, shareholders agreements, subscription agreements, joint venture agreements and commercial contracts.
- Provide corporate and commercial advisory support to clients on compliance, governance, structuring and transactional matters.
- Assist in legal due diligence exercises, including document review, issue identification, risk analysis and preparation of due diligence reports.
- Conduct legal research and prepare legal memoranda, opinions, advice notes and supporting documentation for internal and client use.
- Support project-based work and transactions involving other practice groups within the firm, including multi-disciplinary and multi-party matters.
- Assist in coordinating transaction documentation, timelines and deliverables to ensure matters progress efficiently and in accordance with agreed schedules.
- Provide corporate and commercial legal support arising from larger projects or client mandates, including ad-hoc advisory work and transactional support.
- Liaise with clients, counterparties, regulators and external advisers in the course of matters, including coordinating information requests, submissions and follow-ups.
- Work collaboratively with team members across practice areas to ensure consistency, accuracy and timely completion of workstreams.
