JOB SUMMARY
A Commercial & PPA is responsible for managing supplier/contractor contracts such as EPC, LTSA
(Long Term Service Agreement with major equipment), service contract processes and PPA. Ensuring effective governance across all project phases from business development through construction and O&M. The role encompasses developing procurement policies, commercial evaluations, leading bidding and negotiation activities, and ensuring full compliance with corporate standards and regulatory requirements. It also includes PPA, GSA, WSA negotiation and management, oversight of contract execution, risk management, claim handling, and continuous improvement. Additional responsibilities include training local teams, monitoring performance, and maintaining strong oversight of contractual obligations to maximize commercial value and protect the organization's interests.
JOB RESPONSIBILITIES:
1. Business and Project Development phase
- Develop and implement Procurement Policy and procedures that align with the corporate's policy and objectives including local regulatory requirements.
- Support Business Development team for seeking appropriate EPC contract price as a input of financial model before obtaining the PPA and enter into the joint venture agreement with the partner building new the Power Plant.
- Review terms and conditions of RFP and EPC Contract templates to ensure consistency, compliance and alignment with Head Office standards key terms and conditions.
- Pre-Bidding to bid submission (Bidder prequalification, RFP preparation and etc)
- Bidding Evaluation.
- Contract negotiation, contract conforming, Contract Effectiveness and Kick-Off Meeting.
2. Contract (Construction) Management
- To follow up, maintain, monitor and manage the contract to ensure that contractor/suppliers execute the works comply with the contract's terms and conditions.
- To control the application of Import Entry for imported plant and get exemption of import tax (if the privilege of import duty exemption is applicable).
- Monitors compliance with contract requirements and ensuring all conditions are satisfied before approval of the invoice.
- To record claims made by Suppliers/Contractors and work with related parties to provide decisions of such claims.
- To amend the contract or clarify conditions in the contracts or provide confirmation of approval or rejection of any requests for deviations.
- Steps to be taken in case that an event of Force majeure, Suspension, LD, Claims, Dispute Resolution, Termination and etc.
- To set up a system for filing contracts, contract documents and contract correspondences.
3. Operation and Maintenance phase
- Provide guidance and support to commercial or procurement teams during contract negotiations to ensure that terms and conditions are favorable to the organization.
- Ensure compliance with company's Line of Authority (LOA) and Procurement Policy and procedures, across all procurement activities in various countries.
- Identify and assess procurement-related risks and develop strategies to mitigate them, especially in contract negotiations and supplier relationships.
- Conduct training sessions and workshops for local commercial and procurement teams to enhance their understanding of procurement best practices, contract management, and compliance requirements.
- Monitor procurement performance metrics, analyze data, and generate reports to track compliance, identify trends, and provide insights for continuous improvement.
- Continuously review and refine procurement processes, systems, and strategies to drive efficiency, effectiveness, and value for the organization.
4. Other contract management such as PPA, GSA and WSA.
- To negotiate the following contract such as Power Purchase Agreement (PPA) with Grid Operation, Gas Supply Agreement (GSA) and Water Supply Agreement (WSA).
- Maintain close coordination with Grid Operations and Gas Operations teams to ensure their performance aligns with contractual obligations and to proactively prevent potential disputes.
- Monitor and follow up on the power plant's performance to ensure full compliance with the terms and conditions of the PPA and all associated agreements.
- Address contractual issues and disputes promptly, ensuring timely resolution to minimize operational and financial impacts.
- Lead negotiations and collaborate with external organizations involved in the PPA, GSA, WSA, or related
- matters to achieve mutually beneficial, win‑win solutions while maintaining strong business relationships.
- Ensure the power plant responds to all contractor notices within the stipulated contractual deadlines.
- Review and validate counter party claims, approving or rejecting them based on thorough assessment of contractual terms, supporting documentation, and operational context.
- Verify and ensure that all contractor payments are processed in accordance with contractual and legal timeframes.
- Provide support to O&M teams in resolving conflicts, clarifying interpretations, and addressing misunderstandings related to the PPA, GSA, and WSA.
4. Other assignments by Head of Commercial and Procurement from HQ and/or Country Director.
QUALIFICATIONS
- Bachelor's degree or above in any related field.
- At least 7 years of relevant experience in commercial or contract management from Energy sector.
- Excellent command of English in reading / writing / speaking.
- Good interpersonal and communication skills, positive mindset, patience and responsibility.
- Available for overseas assignments.
