Job Description

Job Responsibilities

Corporate Governance

  1. Provide advisory support to the Board, Board Committees and Management on governance matters and regulatory developments.
  2. Support the effective functioning of the Board and Board Committees.
  3. Ensure the Bank's corporate governance practices are aligned with applicable regulatory requirements and Parent Bank guidelines.
  4. Facilitate communication of Board decisions and policies to Management.
  5. Liaise with regulators and relevant authorities on corporate governance and compliance matters.
  6. Act as key liaison person between the Board and shareholder/stakeholders.

Board & Committee Meetings

  1. Coordinate and manage Board, Board Committee and Management Committee meetings.
  2. Prepare meeting agendas, papers, resolutions and minutes in a timely manner.
  3. Ensure meetings are conducted in compliance with applicable laws, regulations and governance requirements.
  4. Coordinate Annual General Meeting of the Bank.

Statutory & Compliance Matters

  1. Maintain statutory records and ensure timely submission of statutory filings.
  2. Ensure compliance with Financial Services Act 2013, Companies Act 2016, applicable Labuan Financial Services Authority requirements, Bank Negara Malaysia regulatory requirements.

Administrative & Other Duties

  1. Provide corporate secretarial support to other departments where required.
  2. Coordinate travel arrangements and logistics for Directors, Senior Management and Delegates from ICBC Group.
  3. Ensure strict compliance with the applicable laws, rules and regulations, policies, procedures and manuals issued by the Bank, Bank Negara Malaysia, other regulators and ICBC Head Office from time to time.
  4. Undertake ad-hoc assignments and duties assigned by Management from time to time

Job Requirements

  • Bachelor's Degree in related disciplines or professional qualification.
  • Professional qualification such as ICSA qualification and/or Licensed Company Secretary under applicable regulations.
  • Minimum 5-10 years of relevant corporate secretarial experience, preferably in banking or financial institutions (adjustable based on seniority).
  • Strong knowledge of Financial Services Act 2013, Companies Act 2016, corporate governance practices, Bank Negara Malaysia regulatory requirements and Board procedures and governance practices.
  • Good communication and interpersonal skills.
  • Required language(s): Bahasa Malaysia, English and Mandarin/Chinese preferential considered.
  • Proficient in MS Word, Excel and Power Point applications.
  • Ability to work independently and manage multiple deadlines in a fast-paced environment.
  • Meticulous, organised and detail-oriented with strong sense of responsibility.
  • A proactive and collaborative team player.
