Job Description

We are partnering with a leading insurer in appointing a Company Secretary during a period of governance transition and uplift.

This is a newly dedicated and high-impact role, created as the insurer strengthens its internal governance capability, and are now bringing this function fully in-house for both the Life and Takaful entities.

The incoming leader will serve as Company Secretary to both boards, lead board and board committee governance, and ensure strong compliance and engagement across two regulated entities. With direct access to the CEO and senior leadership, this is a pivotal role that will shape how governance is run and experienced within the organization.

You will lead a small, dedicated team, including one direct report, and will be the key point of continuity for all governance matters across both businesses.

What You Will Do

As Company Secretary for both the Life and Takaful entities, you will:

  • Lead and manage the corporate secretarial function in-house, taking over responsibilities previously managed by the parent bank.
  • Serve as named Company Secretary for both entities, ensuring full compliance with all statutory, regulatory, and BNM requirements.
  • Manage the full cycle of board and board committee governance, including planning, agenda setting, minutes, resolutions, and statutory filings.
  • Sit in and support a high volume of board and committee meetings, providing clear guidance on governance standards and board processes.
  • Advise the Board, Board Committees, and senior leadership on governance matters with accuracy, confidence, and discretion.
  • Oversee and maintain statutory records, SSM submissions, and required documentation for both companies.
  • Strengthen governance frameworks, policies, and SOPs to ensure consistency across the Life and Takaful entities.
  • Support the board through a major upcoming initiative: consolidation of the back-end operations of the two entities.
  • Lead and develop one team member, ensuring efficient and well-organised governance operations.
  • Foster a culture of professionalism, transparency, and continuous improvement.

What We Are Looking For

We are seeking an experienced Company Secretary with strong governance credibility and the confidence to support two regulated boards in a dynamic and evolving environment.

You will bring:

  • 12 to 15 years of corporate secretarial experience, ideally within financial services or other regulated sectors.
  • Licensed Company Secretary status, registered with the Companies Commission of Malaysia (SSM).
  • Experience supporting complex board and committee structures with high governance expectations.
  • Strong understanding of the Companies Act, insurance regulatory frameworks, and BNM requirements.
  • Proven ability to manage governance across multiple entities.
  • Excellent organisational skills with strong attention to detail and accuracy.
  • Clear communication and strong interpersonal skills to engage senior stakeholders and regulators.
  • High integrity, sound judgement, and the ability to manage sensitive information with discretion.
  • Experience leading or mentoring junior team members is an advantage.
