Manage and oversee all corporate secretarial and legal affairs for the group and its subsidiaries.
Ensure compliance with statutory, regulatory, and corporate governance requirements across jurisdictions.
Coordinate with external company secretaries, legal counsels, and advisors on corporate matters.
Prepare, review, and manage corporate documents including board resolutions, directors resolutions, shareholder resolutions, and statutory filings.
Maintain corporate records, registers, licenses, and legal documentation.
Review, draft, and negotiate commercial contracts including construction contracts, consultancy agreements, joint venture agreements, MOUs, NDAs, and vendor agreements.
Provide legal advisory support to management on contractual risks, liabilities, and compliance matters.
Manage legal disputes, claims, and litigation matters in coordination with external legal counsel.
Ensure proper management of intellectual property, confidentiality, and data protection matters.
Monitor regulatory changes and advise management on potential impact to the business.
Support corporate restructuring, incorporation, liquidation, and group reorganisation activities.
Liaise with government authorities, regulators, and statutory bodies when required.
Develop and implement internal legal policies, contract templates, and compliance frameworks.
Conduct internal briefings or training on legal and compliance awareness for relevant teams.
Perform any other corporate, legal, or compliance duties as assigned by management.
Requirements: -
Bachelor's Degree in Law (LLB) or equivalent.
Minimum 10 years of relevant experience in corporate legal affairs, contracts management, or in-house legal roles.
Experience in engineering, construction or project-based industries is highly preferred.
Sound knowledge of corporate governance, statutory compliance, and regulatory requirements.
Strong analytical, problem-solving, and risk management skills.
Excellent written and verbal communication skills.
High level of integrity with strong attention to detail and confidentiality.
Ability to work independently, manage multiple matters, and meet deadlines.
