Job Description

Responsibilities: -

  • Manage and oversee all corporate secretarial and legal affairs for the group and its subsidiaries.
  • Ensure compliance with statutory, regulatory, and corporate governance requirements across jurisdictions.
  • Coordinate with external company secretaries, legal counsels, and advisors on corporate matters.
  • Prepare, review, and manage corporate documents including board resolutions, directors resolutions, shareholder resolutions, and statutory filings.
  • Maintain corporate records, registers, licenses, and legal documentation.
  • Review, draft, and negotiate commercial contracts including construction contracts, consultancy agreements, joint venture agreements, MOUs, NDAs, and vendor agreements.
  • Provide legal advisory support to management on contractual risks, liabilities, and compliance matters.
  • Manage legal disputes, claims, and litigation matters in coordination with external legal counsel.
  • Ensure proper management of intellectual property, confidentiality, and data protection matters.
  • Monitor regulatory changes and advise management on potential impact to the business.
  • Support corporate restructuring, incorporation, liquidation, and group reorganisation activities.
  • Liaise with government authorities, regulators, and statutory bodies when required.
  • Develop and implement internal legal policies, contract templates, and compliance frameworks.
  • Conduct internal briefings or training on legal and compliance awareness for relevant teams.
  • Perform any other corporate, legal, or compliance duties as assigned by management.

Requirements: -

  • Bachelor's Degree in Law (LLB) or equivalent.
  • Minimum 10 years of relevant experience in corporate legal affairs, contracts management, or in-house legal roles.
  • Experience in engineering, construction or project-based industries is highly preferred.
  • Sound knowledge of corporate governance, statutory compliance, and regulatory requirements.
  • Strong analytical, problem-solving, and risk management skills.
  • Excellent written and verbal communication skills.
  • High level of integrity with strong attention to detail and confidentiality.
  • Ability to work independently, manage multiple matters, and meet deadlines.
