Role Summary
Lead the corporate secretarial function to ensure full compliance with the Companies Act 2016, SSM regulations, Bursa Malaysia requirements (where applicable), and best-practice corporate governance,whileadvisingthe Board and managing all statutory records, meetings, and regulatory submissions.
Key Responsibilities
- Maintain and update statutory registers; prepare and file annual returns, financial statements, changes of officers/addresses, and all statutorylodgmentswithin prescribed timelines.
- Prepare agendas, notices, draft minutes/resolutions, and ensure proper recording of meeting decisions; coordinate AGMs, EGMs, and board committee meetings; ensureaccurateannouncements and submissions for PLCs (where applicable).
- Advise directors on Companies Act 2016, Bursa Malaysia Listing Requirements, Malaysian Code on Corporate Governance, conflicts of interest, AMLA, and related ethics/compliance obligations.
- Manage incorporations, share issuances/transfers, restructuring exercises, constitution updates, and dissolutions; liaise with auditors, tax agents, banks, legal counsel, and regulatory bodies.
- Engage with SSM and relevant authorities;monitorregulatory changes; implement measures to prevent noncompliance risks, penalties, and operational disruptions.
- Lead, supervise, and develop a team of junior and midlevel corporate secretarial staff, ensuring technical accuracy, workload management, service quality, and knowledge growth.
- Serve as the primary client contact, handling advisory inquiries, guiding clients through compliance requirements, and ensuring a highquality client experience.
- Frequently conduct presentations and briefings for foreign clients and investors, including walkthroughs of Malaysian corporate, licensing, and investment compliance requirements.
Qualifications& Experience
- Preferably holds a valid Practicing Certificate (s.241) or member of approved bodies (e.g., MAICSA, MACS, Malaysian Bar, MIA, MICPA etc.)
- Bachelor'sdegree in Corporate Governance, Law, Business Administration, or related field.
- 6 to 10+ years working experience in corporate secretarial/governance; PLC exposureadvantageous.
- Excellent drafting (minutes/resolutions), stakeholder management, and advisory skills; meticulous with deadlines and records.
