Corporate Secretary
Location: Petaling Jaya, Malaysia
Job Summary
We are seeking an experienced and detail-oriented Corporate Secretary to join our client in Petaling Jaya. The ideal candidate should possess strong expertise in corporate secretarial practices, minute writing, Labuan foundation compliance, and portfolio management gained from a corporate secretarial service provider environment.
This role requires a highly organized professional capable of independently managing a portfolio of clients while ensuring full compliance with statutory and regulatory requirements in Malaysia and Labuan.
Key Responsibilities
- Manage a portfolio of corporate clients, including private companies, Labuan entities, and foundations.
- Handle full spectrum of corporate secretarial duties in compliance with the Companies Act, Labuan regulations, and other relevant statutory requirements.
- Prepare, draft, and review:
- Board resolutions
- Directors and shareholders resolutions
- Minutes of meetings
- Annual returns and statutory filings
- Attend board and committee meetings where required and ensure accurate and comprehensive minute writing.
- Advise clients and internal stakeholders on corporate governance, compliance matters, and statutory obligations.
- Ensure timely submission of filings with relevant authorities including:
- Suruhanjaya Syarikat Malaysia (SSM)
- Labuan Financial Services Authority (Labuan FSA)
- Manage Labuan foundation compliance matters, including maintenance of statutory records and ongoing compliance requirements.
- Liaise with regulators, auditors, tax agents, legal advisors, and other external parties.
- Monitor changes in regulatory requirements and ensure clients remain compliant.
- Mentor and guide junior corporate secretarial staff where applicable.
Requirements
- Bachelor's Degree, ICSA qualification, LS licensed secretary certification, or equivalent professional qualification.
- Minimum 12–15 years of corporate secretarial experience.
- Prior experience working in a corporate secretarial service provider environment managing client portfolios is mandatory.
- Strong experience in: Minute writing, Board meeting support, Labuan foundation and Labuan entity compliance, Corporate governance and regulatory compliance
- Sound knowledge of: Companies Act 2016, Labuan Companies Act, Relevant corporate governance frameworks
- Excellent written and verbal communication skills in English.
- Strong attention to detail, organizational skills, and ability to work independently.
- Proficient in corporate secretarial software and Microsoft Office applications.
