Job Description

Acclime, a leading corporate and professional services firm with operations across Asia Pacific, is seeking an associate for the Group Company Secretary team to join its Group Legal & Compliance team and play a key role in supporting the governance and administration of its regional corporate structure. This role will be based in Kuala Lumpur, Malaysia.

This is an in-house corporate governance and company secretarial role supporting the Acclime Group's internal entities and stakeholders. The role is not client-facing and does not involve the provision of company secretarial services to external clients.

Key Responsibilities:

  • This role will be the primary point of contract for all corporate secretarial matters of the Group's entities across Asia Pacific and will be supported by local company secretarial teams.
  • Coordinate with local company secretarial teams to ensure corporate records, statutory information, and governance documentation are timely prepared, filed and completed.
  • Maintain the Group's central database of Group entity corporate information in a timely manner.
  • Provide corporate secretarial and administrative support to the Group Legal & Compliance function.
  • Manage and maintain corporate ownership records, including information relating to upstream entities, beneficial owners, ultimate beneficial owners (UBOs), and Know-Your-Customer (KYC) documentation of the Group entities, and coordinate KYC requests from various business units and stakeholders
  • Support legal entity rationalisation initiatives, including the closure, liquidation, deregistration, or strike-off of dormant and non-operational Group entities, and change of directors, in collaboration with local company secretarial teams and external service providers.
  • Assist with post-acquisition integration and corporate onboarding activities, including onboarding newly acquired entities into the Group's central repository, preparation of corporate approvals, updating authorised signatories, and other integration-related corporate actions.
  • Prepare, review, coordinate, and maintain corporate documentation, including resolutions, powers of attorney, corporate approvals, governance documents, and transaction-related documentation in connection with M&A, financing, restructuring, and other strategic projects.

Additional responsibilities

  • This role may be required to maintain the Group's centralised operating licences repository, and monitor the renewals of the Group's licences, permits, registrations, and regulatory approvals. This will be done with support from the Group Legal team, business units and external counsel.

Key Requirements:

  • Candidate must possess an ICSA qualification or equivalent professional certification.
  • Minimum of 5 years of relevant Company Secretarial experience, preferably within a multinational company.
  • Professional membership with the Malaysian Association of Company Secretaries or equivalent in common law jurisdiction
  • Excellent written and verbal communication skills in English, proficiency in Mandarin is an added advantage.
  • Able to adapt and perform in a demanding, fast-paced environment while meeting deadlines
  • A team player who can also work independently with minimal supervision
  • Highly organised, meticulous, and capable of managing multiple priorities in a fast-paced, dynamic environment.
  • A willingness to do and learn new skills outside company secretarial work will be regarded favorably.
