Acclime, a premier corporate services and professional services firm with regional presence in Asia Pacific is looking for a Legal Counsel to join its growing legal team based in Kuala Lumpur, Malaysia. Following the successful acquisition of Acclime by Warburg Pincus, the Group is entering its next phase of growth and expansion. As part of this journey, we are looking to strengthen our legal function by adding an experienced legal professional to support the business across a broad range of regional and cross-border matters.
Key Responsibilities:
- Lead and manage the acquisition, strategic investments and financing exercises of Acclime from inception until closing (i.e. evaluation of transaction structure, research on transactional matters, CP fulfilment, completion checklist, drafting of completion deliverables, liaising and coordinating with external lawyers).
- Draft, review, negotiate and advise on wide range of commercial contracts (e.g. service agreement, NDA, intra-group agreements, strategic business agreements) ensuring alignment with legal, regulatory, and commercial objectives.
- Support strategic transformation and value creation initiatives, working closely with senior stakeholders across the Group to drive strategic and organizational change.
- Develop, update, and maintain legal templates, policies, procedures, and playbooks to support business operations and promote consistency across the Group.
- Provide timely, practical, and commercially focused legal advice to management and business teams on legal, regulatory, governance, employment, compliance, data privacy, intellectual property, corporate, and operational matters.
- Drive continuous improvements to legal processes, reporting, and knowledge management initiatives within the Group Legal function.
- Contribute to the development of the Group Legal function by improving legal operations, workflows, training, legal awareness initiatives, and best practices across the business.
- Manage and protect the Group's intellectual property portfolio, including trademarks, domain names, copyrights, brand protection matters, registrations, renewals, filings, oppositions, and coordination with external intellectual property advisors across relevant jurisdictions.
- Manage and coordinate material disputes, litigation, regulatory investigations, and contentious matters affecting the Group, including assessing legal exposure, liaising with external counsel, overseeing case progression, and advising management on risk, costs, and settlement options.
- Support and mentor junior legal team members and provide guidance on legal research, contract review, transaction execution, and legal risk management
Key Requirement:
- Candidate must possess LLB degree and admission to practice in a common law jurisdiction is preferred.
- Minimum 6 years PQE in law firm or in-house in corporate fraternity with experience in M&A, banking & finance and/or debt/equity capital market.
- Substantial experience in legal advisory, agreement drafting and reviewing and legal research.
- Excellent written and verbal communication skills in English, proficiency in Mandarin is an added advantage.
- Highly organised, meticulous, and capable of managing multiple priorities in a fast-paced, dynamic environment.
- Team player with immaculate communication and interpersonal skills, with the ability to build effective relationships with senior management and board members.
- Resourceful, commercially minded, and able to work independently with minimal supervision while exercising sound professional judgment.
- Strong research and analytical skills.
