Job Description

Our client is a leading and well-established company specializing in infrastructure services.

The Head of Legal & Compliance provides strategic legal advice on a wide range of matters, including mergers and acquisitions, corporate governance, financing, regulatory compliance, and corporate secretarial practices.

Responsibilities:

  • Act as a trusted advisor to the Board and Senior Management, delivering practical, business-oriented legal and compliance guidance aligned with regulatory and ethical standards.
  • Develop and implement a global legal and compliance strategy to support growth, strategic initiatives, and geographic expansion.
  • Establish and oversee group-wide compliance frameworks across jurisdictions, including anti-bribery, AML, data protection, sanctions, and export controls.
  • Monitor regulatory developments and ensure the effectiveness of governance and compliance programs.
  • Promote a strong culture of ethics and integrity, overseeing whistleblowing, investigations, and regulatory matters.
  • Lead all legal matters, including commercial contracts, M&A, joint ventures, financing, IP, employment, property, and dispute resolution.
  • Oversee contract drafting, negotiation, and risk management for new business initiatives and partnerships.
  • Standardise legal policies, templates, and processes to enhance efficiency and responsiveness.
  • Manage disputes and litigation strategy, ensuring commercially sound and cost-effective outcomes.
  • Appoint and manage external counsel to deliver high-quality, value-driven legal services.
  • Build and lead a high-performing global legal and compliance team with consistent standards across regions.

Requirements:

  • Bachelor of Laws (LL.B) or equivalent; admitted to practice law in Malaysia.
  • Minimum 8-10 years of legal experience, preferably with a mix of private practice and in-house roles.
  • Strong expertise in corporate and commercial law, with exposure to M&A, project contracts, and financial agreements.
  • Proven experience managing external counsels and handling complex legal matters independently.
  • Excellent negotiation, analytical, and communication skills.
  • Ability to balance legal risks with practical business considerations in a fast-paced environment.
