Job Summary:
As the Head / Senior Manager of Total Rewards, you will architect, scale, and govern our global compensation, benefits, and equity strategy. Your immediate focus will be preparing our reward structures for the public market. You will transition our equity programs from pre-IPO frameworks to public-ready structures (including ESOS and RSUs) and act as the primary advisor and partner to the Board's Remuneration Committee.
Key Responsibilities:
1. Pre-IPO & Public Equity Management
- Design & Strategy: Evaluate, refine, and scale our global equity programs, ensuring a smooth transition from early-stage vehicles to public-ready structures.
- ESOS & RSUs: Manage the lifecycle of the Employee Share Option Scheme (ESOS) and establish the governance, mechanics, and rollout of Restricted Stock Units (RSUs).
- IPO Readiness: Collaborate with Legal, Finance, and Investment Banking partners to ensure equity pools, share dilution models, and vesting schedules align with market standards for newly public companies.
2. Executive Compensation & Board Governance
- Remuneration Committee Partner: Prepare materials, competitive benchmarking data, and strategic proposals for the Remuneration Committee (RemCo) to ensure executive compensation is defensible, aligned with performance, and compliant with listing requirements.
- Disclosure & Compliance: Partner with Legal and Finance to ensure all executive pay, equity allocations, and peer group data are accurately captured for prospectus filing and ongoing regulatory reporting.
3. Compensation, Benefits & Benchmarking
- Broad-Based Pay: Establish scalable salary bands, merit review cycles, and variable incentive plans across all markets.
- Market Intelligence: Lead participation in executive and general compensation surveys to monitor industry trends and maintain a highly competitive talent posture.
Key Requirements:
- Experience: 8+ years of dedicated experience in Total Rewards / Compensation & Benefits, with a strong emphasis on equity administration. Direct experience guiding a company through an IPO transition is highly preferred.
- Equity Expertise: Deep, hands-on understanding of equity instruments (ESOS, RSUs, Performance Shares) across international jurisdictions, including taxation, vesting mechanics, and compliance.
- Boardroom Presence: Proven experience preparing materials for or presenting directly to a Board-level Remuneration Committee or senior executive stakeholders.
- Technical Savvy: Advanced data modeling skills (Excel/financial models) and experience with equity management platforms (e.g., Carta, Shareworks).
- Communication: Ability to translate complex equity and financial jargon into simple, compelling communication for everyday employees.
