About the Role

The role is responsible for driving CapBay's equity fundraising efforts by managing the end-to-end capital raising process, from identifying and engaging prospective investors to supporting due diligence, negotiations, and successful transaction execution. Working closely with senior management, you will play a key role in articulating CapBay's growth story and building long-term relationships with Venture Capital (VC), Private Equity (PE), family offices, and other strategic investors.

Beyond the immediate fundraising mandate, the role offers the opportunity to progressively expand into broader capital strategy and corporate finance initiatives as CapBay continues to scale. This includes investor relations, debt fundraising, capital and product structuring, strategic partnerships, corporate development, and other strategic finance projects that support the Company's long-term growth.

Key Responsibilities:

In this role, you will be expected to:

  • Research, identify, and maintain a robust pipeline of global and regional investors, including Venture Capital (VC), Private Equity (PE), family offices, and strategic investors. Initiate first-contact outreach and qualify opportunities based on investment mandates.
  • Lead the end-to-end execution of equity fundraising exercises, managing the full transaction lifecycle from initial engagement through due diligence, negotiations, documentation, and legal completion.
  • Develop and maintain high-quality investment materials, including pitch decks, Information Memorandums (IMs), investor presentations, and fundraising documents, ensuring they accurately reflect CapBay's financial performance, business model, and growth strategy.
  • Work alongside the Finance and Senior Management teams to prepare and maintain detailed financial models, valuation analyses, cap table simulations, and fundraising scenarios.
  • Establish and manage Virtual Data Rooms (VDRs), coordinating due diligence requests across Finance, Legal, Product, Risk, and other internal stakeholders to ensure timely and accurate information flow.
  • Build and maintain strong relationships with existing and prospective investors, serving as a key point of contact throughout the fundraising process while laying the foundation for long-term investor relationships.
  • Prepare regular fundraising pipeline updates, investor engagement reports, and transaction status reports for Senior Management, highlighting key developments, risks, and next steps.
  • Support negotiations with investors by coordinating information requests, analysing term sheets, and assisting Senior Management throughout the transaction process.
  • Conduct market research on fintech, SME financing, and private capital markets across Malaysia and Southeast Asia to identify emerging trends, benchmark fundraising activities, and strengthen CapBay's investment proposition.
  • Collaborate closely with cross-functional teams to ensure alignment between fundraising activities, financial performance, business strategy, and operational execution.
  • As CapBay continues to grow, progressively support broader capital strategy initiatives, including investor relations, debt fundraising, capital and product structuring, strategic partnerships, corporate finance projects, and other initiatives that strengthen the Company's long-term funding strategy.

Key Qualifications and Requirements:

In this role, you will be expected to:

  • Bachelor's degree in Finance, Accounting, Economics, or a related field.
  • At least 5 years of professional experience in Venture Capital (VC), Private Equity (PE), Investment Banking, Corporate Finance, or Transaction Advisory (Big 4 or equivalent), specifically in financial due diligence, valuations, or M&A lead advisory.
  • Capability and experience in creating institutional-grade investor decks and Information Memorandums (IMs) that translate complex data into a persuasive investment thesis.
  • Proven ability to lead first-level investor meetings, handle Q&A sessions independently, and manage follow-up workstreams.
  • Strong organizational skills to manage a Virtual Data Room (VDR) and coordinate multidisciplinary teams (Legal, Finance, Product) during due diligence.
  • Strong presentation skills, with the ability to articulate the CapBay story to global institutional investors Possession of an active network of regional (SEA) and global VC/PE contacts is a significant advantage.
