Job Description

POSITION SUMMARY

To support the Legal, Compliance and Secretariat Department in ensuring the Company and its subsidiaries operate within the applicable legal, regulatory, and corporate governance framework. This role includes assisting in legal documentation, corporate compliance, governance initiatives, and providing support in coordination with the appointed external company secretary.

JOB RESPONSIBILITIES

A.   Legal Support

i. Assist in the review, drafting, and vetting of commercial contracts, tenancy agreements, NDAs, service agreements, and other legal documents.

ii. Conduct legal research and monitor developments in laws and regulations affecting the Company.

iii. Maintain and manage the legal database and contract repository.

iv. Liaise with internal stakeholders and external solicitors on legal matters and disputes.

v.  Support legal documentation for corporate exercises, including due diligence processes.

B.   Company Secretariat Support (in coordination with external company secretary)

i.  Liaise with the external company secretary for timely preparation and submission of statutory forms and returns to the Companies Commission of Malaysia (SSM).

ii. Review draft board and committee minutes, notices, resolutions, and related secretarial documents prepared by the external company secretary.

iii. Ensure accuracy and completeness of statutory records and registers maintained by the external company secretary.

iv. Coordinate preparation of AGM/EGM materials and facilitate engagement between the management and external company secretary.

v.  Monitor compliance with the Companies Act 2016, Bursa Malaysia Listing Requirements, and corporate governance best practices.

C.   Compliance & Governance

i.   Assist in implementing and monitoring internal policies and procedures to ensure compliance with applicable legal and regulatory requirements.

ii.   Support governance initiatives including review and update of internal policies (e.g., Code of Conduct, Anti-Bribery & Corruption Policy, Whistleblower Policy).

iii.   Coordinate compliance reporting and regulatory filings, including those required by Bursa Malaysia.

iv.   Maintain internal compliance and governance registers and ensure proper documentation.

D.   General and Administrative Support

i.    Draft correspondences, internal reports, and presentation materials.

ii.   Assist in the preparation of announcements to Bursa Malaysia and internal corporate records.

iii.  Handle administrative matters including document filing, stamping, and certification where necessary.

iv.  Assist in managing legal and professional fee payments, including liaison with Finance.

JOB REQUIREMENT

·      Bachelor's Degree in Law (LLB), ICSA/MAICSA, or a related discipline.

·   Minimum 1-2years of relevant working experience in legal, compliance, or corporate secretarial functions, preferably in a listed company or regulated environment.

·Preferably with working knowledge of Malaysian corporate law, Companies Act 2016, and Bursa Malaysia Listing Requirements.

·     Proficient in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).

·      Strong command of English, both written and verbal with good interpersonal skills

·      Able to maintain a high level of confidentiality and discretion.

·      Flexibility to multitask and adapt in a fast-paced environment.

·      Professional appearance and demeanour, especially for front-facing reception duties.
