Job Description

Role Objectives

The Legal Associate in the Corporate Department is responsible for managing corporate and commercial matters, supporting transactions, and providing legal advice to clients in compliance with applicable laws and regulations.

This role involves drafting and reviewing corporate documents, conducting legal research, and supporting transactional work. The Legal Associate also contributes to delivering high quality legal services while developing expertise across a range of corporate and commercial matters.

Key Responsibilities

Transaction Management:

  • Handle and support a range of corporate and commercial transactions, including mergers and acquisitions, joint ventures, and corporate restructuring
  • Assist in developing transaction structures and provide legal support throughout the transaction lifecycle
  • Draft, review, and negotiate transaction documents including share purchase agreements, shareholders agreements, and related contracts
  • Coordinate with clients and relevant parties to ensure timely progress and completion of transactions

Legal Research and Advisory:

  • Conduct legal research on corporate and commercial laws to support ongoing matters
  • Analyse statutes, regulations, and guidelines relevant to corporate transactions
  • Stay updated on legal developments and provide practical input to the team where required

Client Interaction:

  • Maintain regular communication with clients to provide updates and obtain instructions
  • Assist in advising clients on legal rights, obligations, and risks in relation to corporate matters
  • Build and maintain professional relationships with clients and stakeholders

Document Preparation:

  • Draft and review corporate documents including agreements, resolutions, and advisory notes
  • Ensure all documentation is accurate, properly structured, and compliant with legal and regulatory requirements
  • Manage documentation and maintain organised and up to date records of all matters

Collaboration and Teamwork:

  • Work closely with partners, associates, and support staff on corporate transactions
  • Participate in internal discussions and contribute to matter strategy and execution
  • Collaborate with other practice areas where required to provide holistic legal support

Compliance and Ethics:

  • Ensure all work is carried out in accordance with professional standards, regulatory requirements, and firm policies
  • Maintain strict confidentiality of client information and firm matters
Requirements / Competencies
  • Called to the Malaysian Bar with at least four (4) years experience in corporate and commercial practice
  • Experience in handling or supporting corporate transactions and drafting commercial agreements
  • Strong drafting skills with attention to detail and accuracy
  • Good understanding of Malaysian corporate laws and regulatory framework
  • Ability to manage multiple matters and meet tight deadlines
  • Strong analytical, organisational, and problem solving skills
  • Good communication and interpersonal skills with the ability to interact professionally with clients
  • Able to work independently as well as collaboratively within a team
  • Proactive, responsible, and keen to develop within the corporate practice area
