Key Responsibilities
Transactional & Investment Documentation
- Draft and review:
- Limited Partnership Agreements (LPAs) / LLP Agreements (LLPAs)
- Information Memorandums (IMs) / Subscription Agreements
- Loan agreements, security documents, and financing structures
- Ensure consistency across fund documents (IM, LPA/LLPA, Subscription documentation)
- Support alignment of fund documentation to ensure internal consistency across all documents
- Assist in preparing, reviewing, and updating ancillary documents, including side letters, board/IC papers, term sheets, and transaction summaries
- Conduct legal due diligence on transactions and counterparties, including reviewing corporate documents, regulatory status, and key contractual arrangements
- Assist in identifying legal risks, gaps, or inconsistencies in transaction structures and propose practical solutions
- Coordinate execution processes, including document finalisation, signing arrangements, and closing deliverables
- Maintain and organise transaction documentation, records, and version control
- Liaise with internal stakeholders and external parties (including external counsel, counterparties, and service providers) to support transaction execution
- Conduct legal research and provide concise summaries on issues relating to corporate, financing, and capital markets matters
Regulatory & Compliance (SC / CMSA Focus)
- Support compliance with Securities Commission Malaysia (SC) guidelines applicable to private market funds and PMECs
- Assist in ensuring offering documents (IM) are aligned with regulatory expectations and do not trigger unintended licensing or prospectus requirements
- Support internal compliance with AML/CFT requirements and investor onboarding standards
Fund Structuring & Cross-Border Work
- Assist in structuring private funds (Malaysia, Cayman, Labuan structures where applicable)
- Coordinate with external counsel, administrators, and trustees
- Support legal structuring of fund economics (commitment model, capital calls, distribution waterfalls)
Capital Raising & Introducer Frameworks
- Draft and review engagement letters, introducer agreements, and fee arrangements
- Assist in structuring success fee models and management fee participation
- Ensure arrangements are structured to avoid regulatory risks under CMSA (e.g. unlicensed dealing, placement agent concerns)
Private Credit & Security Transactions
- Assist in drafting and reviewing:
- Loan agreements (including structured/private credit deals)
- Security documentation (charges, guarantees, debentures)
- Support structuring of repayment mechanics, returns, and enforcement provisions
General Legal & Advisory
- Conduct legal research on Malaysian and cross-border regulatory issues
- Review NDAs, commercial agreements, and settlement documentation
- Assist with internal governance documentation (IC papers, policies, board memoranda)
Requirements
- 2–4 years PQE in corporate, capital markets, or banking & finance
- Prior exposure to private credit, SC guidelines, CMSA, or capital markets regulatory work is strongly preferred
- Strong drafting, attention to detail and analytical skills
- Able to work independently in a fast-paced, deal-driven environment
