LEGAL & COMPLIANCE MANAGER

JOB PURPOSE : The Legal & Compliance Manager is responsible for supporting the company's legal and compliance functions by ensuring adherence to legal standards, regulatory requirements and internal policies. This role involves providing legal advice, managing compliance programs and assisting in the development and implementation of corporate governance practices. The Legal & Compliance Manager plays a key role in protecting the organization's legal interests and
ensuring its operations are conducted within the boundaries of the law
ACCOUNTABILITIES:
- To assist Head of Group Legal and Compliance on all legal affairs & corporate matters for the Citaglobal and its group of companies including contract management, end-to-end management of all agreements and contracts largely related to Citaglobal group of companies business activities including construction contract documents and dealing with regulatory bodies including compliances to the laws
- Advisory role and provide legal counsel to the Board of directors, Executive Chairman, Group CEO and respective Citaglobal company's CEOs, COOs and other senior management
- Manage and analyze complex legal risks and opportunities on various Malaysian laws including but not limited to, contract law, company law, competition law, anti-corruption law, personal data law, intellectual property law, property/land law, environment law and build legal strategies to ensure continuous business growth
- Handling and conducting legal watch and ensuring comprehensive and on-going knowledge of emerging trends and subjects that have potential in impacting the company's businesses
- Identifying potential areas of compliance vulnerability and risk and developing/implementing corrective action plans
- Responsible in handling litigation matters, understanding and advising on local corporate law requirement and advocating strong internal governance
- Ensuring collaborative objectives are achieved with various internal stakeholders in relation to internal audit, internal control, risk management, process improvement and efficiency
- Responsible for drafting and vetting of legal documents and be part of the contract negotiation team and attending to legal aspects of business and corporate exercises
- Provide advice and oversee good governance processes in regulatory counsel related matters
JOB SPECIFICATION:
Qualification:
- Possess a Degree in Law (Hons) from a recognized University with at least ten (10) years with experience in litigation management and/or admitted to the Malaysia Bar
- Conversant in M&A, construction, energy, financing contracts
- Conversant with the Companies Act 1965, Bursa Malaysia listing requirements and other relevant rules and regulations
Experience & Knowledge :
- Experienced and understanding on technical knowledge in civil & structure, oil & gas, manufacturing business requirements and/or government-linked companies will be an added advantage
- Business acumen, ability to multitask and experience in handling complex projects as well as leading junior counsels, driving efficiency and people development
- Solution oriented and able to work effectively in a fast-paced environment and contribute ideas
- Sound knowledge in law of contracts, tort, commercial law, company law and legal recovery procedures
