Job Description

The Legal Counsel, Compliance will provide comprehensive legal advisory and compliance support to the organization. This role is responsible for ensuring adherence to applicable laws and regulations, mitigating legal risks, and supporting business operations through sound legal guidance and governance frameworks.

KEY RESPONSIBILITIES

Legal Advisory & Contracts

  • Provide legal advice to management and business units on corporate, commercial, and regulatory matters.
  • Draft, review, and negotiate contracts, agreements, and legal documents (e.g., vendor, project, JV, and service agreements).
  • Support business initiatives and projects by providing proactive, solution-oriented legal guidance.

Compliance & Governance

  • Ensure compliance with applicable laws, regulations, and internal policies, particularly within the energy sector.
  • Develop, implement, and monitor compliance frameworks, policies, and procedures.
  • Identify and manage legal and compliance risks, and propose mitigation strategies.
  • Support corporate governance activities, including board matters, resolutions, and internal controls.
  • Conduct legal research and provide updates on regulatory developments impacting the business.

Data Protection & PDPA

  • Ensure organizational compliance with the Personal Data Protection Act 2010 (PDPA) and related regulations.
  • Act as the internal subject matter expert on personal data protection and privacy matters.
  • Develop, review, and maintain data protection policies, privacy notices, and procedures.
  • Advise business units on the collection, processing, storage, transfer, and retention of personal data.
  • Conduct Data Protection Impact Assessments (DPIA) and privacy risk assessments for new initiatives.
  • Monitor compliance with data subject rights (e.g., access and correction requests).
  • Manage and investigate data breaches, including reporting obligations and mitigation actions.
  • Liaise with regulators such as the Personal Data Protection Department (JPDP), where required.
  • Review and negotiate data protection clauses in contracts with vendors and third parties.
  • Ensure compliance with cross-border data transfer requirements.
  • Maintain records of data processing activities for audit and regulatory purposes.
  • Conduct training and awareness programs on data protection and privacy.

Dispute Management & External Counsel

  • Liaise with and manage external counsel on litigation, disputes, and specialized legal matters.
  • Support internal investigations, audits, and regulatory inquiries.

KEY REQUIREMENTS

  • Bachelor of Laws (LLB) and admission to the Bar (Malaysia or relevant jurisdiction).
  • Minimum 15 years of legal experience, preferably in corporate/in-house or energy-related industries.
  • Strong knowledge of corporate law, contract law, regulatory compliance, and data protection laws.
  • Experience in compliance frameworks, risk management, and corporate governance.
  • Excellent drafting, negotiation, and analytical skills.
  • Ability to work independently and collaborate effectively with cross-functional teams.
