Job Description

Job Responsibilities

  • Lead the full process of setting up, changing, and closing domestic and foreign companies, including registration plan design, compliance review, qualification handling, and ongoing maintenance; coordinate and resolve complex compliance issues during establishment.
  • Establish and optimize corporate governance systems, including articles of association, shareholder agreements, board/shareholder meeting rules; supervise governance implementation to ensure compliance with domestic and international laws.
  • Independently draft, review, and revise core corporate legal documents: shareholder agreements, equity transfer agreements, board resolutions, authorizations, business registration materials, etc., ensuring legal soundness and clear allocation of rights.
  • Manage core legal affairs such as amendments to articles of association, business registration updates, annual filings, and license renewals; establish a legal matter ledger for full traceability and control.
  • Assist the Legal Director in optimizing internal workflows, setting legal work standards, and coordinating with administration on compliance matters.
  • Liaise with external counsel, accounting firms, and domestic/foreign regulators; build stable and efficient cooperation mechanisms; handle compliance inspections and dispute resolution.
  • Independently review and support negotiation of foundational and core business contracts, identify legal risks, propose practical amendments and risk control solutions, and participate in key contract negotiations and execution.
  • Support the Legal Director in building the company's legal risk prevention system, provide legal input into major business decisions, guide junior legal staff, and complete other key tasks assigned.

Job Requirements

  • Bachelor's degree or above in law (Civil, Commercial, or Company Law preferred).
  • Hold a legal professional qualification certificate.
  • 3–5 years of corporate legal experience, preferably in cross-border or group companies.
  • Deep knowledge of domestic and foreign company establishment, governance, and compliance; proven experience in corporate structuring, equity design, and cross-border compliance; ability to solve complex issues independently.
  • Fluent in English and Chinese (Mandarin), with proven ability to draft, review, and revise bilingual legal documents and contracts.
  • Familiar with international business regulations and cross-border compliance requirements; experience in foreign-related legal matters (e.g., cross-border contracts, compliance filings) is a plus.
  • Strong communication, problem-solving, and teamwork skills; capable of independently driving legal projects under pressure; some team management or mentoring experience.
  • Keen legal risk insight, detail‑oriented, responsible, proactive in risk identification and mitigation.
  • Preference for those with commercial law firm experience or familiarity with legal processes in internet / tech, manufacturing, or international trade.
