Legal Counsel

The Legal Counsel is responsible for providing strategic, practical and commercially focused legal advice to support Eskayvie's business operations. This role safeguards the company's legal interests by ensuring compliance with applicable laws and regulations, minimizing legal risks, reviewing and negotiating contracts, managing disputes, protecting intellectual property, and supporting corporate governance.

Reporting to the Managing Director, the Legal Counsel will work closely with all business functions to achieve sustainable growth while maintaining the highest standards of legal and ethical compliance.

Key Responsibilities:

1. Legal AdvisoryProvide timely legal advice to Management and all business units.

• Interpret and advise on Malaysian laws and regulations affecting the company's operations.
• Support business decisions by identifying legal risks and proposing practical solutions.
• Keep Management informed of changes in legislation and regulatory requirements.

2. Contract ManagementDraft, review and negotiate commercial agreements

• Ensure contractual terms adequately protect Eskayvie's interests.
• Maintain a centralized contract management system.

3. Regulatory & ComplianceEnsure compliance with all applicable laws and regulations

• Work closely with Product & Regulatory and Marketing to ensure product claims, marketing materials and promotional activities comply with relevant regulations.
• Develop and maintain company compliance policies.

4. Corporate GovernanceSupport Board and Management on governance matters.

• Assist with preparation and review of Board resolutions and corporate documents.
• Ensure compliance with statutory obligations.
• Liaise with Company Secretaries.

5. Litigation & Dispute ManagementManage legal disputes, claims and potential litigation.

• Coordinate case management with external legal firms.
• Review legal notices and correspondence.
• Recommend dispute resolution strategies.
• Manage settlement negotiations where appropriate.

6. Intellectual PropertyProtect Eskayvie's trademarks, copyrights and other intellectual property.

• Coordinate trademark registrations and renewals.
• Monitor potential infringements.
• Advise on licensing and intellectual property commercialization.

7. Employment & HR Legal SupportProvide legal advice on employment matters such as employment contracts, domestic inquiries, terminations, Industrial Court cases, HR policies

• Support the People & Culture Department in compliance with labor laws.

8. Risk ManagementIdentify legal risks across business operations.

• Recommend risk mitigation measures.
• Support enterprise risk management initiatives.

9. Commercial & Business SupportParticipate in strategic business projects.

• Review new business models from a legal perspective.
• Advise on mergers, acquisitions, investments or strategic collaborations where applicable.
• Support regional business expansion initiatives.

10. Training & AwarenessConduct and/or organize legal awareness and compliance training for employees.

• Promote ethical business practices throughout the organization.

Requirements:

• 5+ years of work experience with Drafting Agreements

• Authorized to work in Malaysia

• 5+ years of work experience with Commercial Law

• 5+ years of work experience with Legal Compliance
