Job Description
JOB SUMMARY
The Legal Counsel – Corporate Governance & Projects provides legal, corporate governance, and transactional support across B.Grimm Power's investments, subsidiaries, joint ventures, and projects in Malaysia.
The role covers corporate governance, M&A and joint ventures, project and EPCC contracts, financing, regulatory compliance, and dispute management. The incumbent will work closely with management, project and business teams, shareholders, JV partners, external legal counsel, company secretaries, financial institutions, and regulatory authorities.
DUTIES & RESPONSIBILITIES
Corporate Governance & SPV Management
- Manage legal and corporate governance matters for Malaysian subsidiaries, joint ventures, and SPVs.
- Ensure compliance with statutory requirements, Shareholders Agreements, constitutional documents, and internal governance policies.
- Coordinate board and shareholder approvals, resolutions, statutory filings, authorized signatories, and corporate records.
- Support the establishment, restructuring, acquisition, and dissolution of corporate entities.
Shareholder & Joint Venture Governance
- Monitor compliance with Shareholders Agreements, Joint Venture Agreements, and investment-related contracts.
- Advise management on reserved matters, voting rights, funding obligations, approval requirements, and governance provisions.
- Identify governance risks and ensure corporate actions comply with contractual and legal requirements.
Legal Advisory & Stakeholder Management
- Provide practical and commercially focused legal advice to management and internal stakeholders.
- Work closely with Business Development, Finance, Commercial, Project Development, and Operations teams.
- Liaise with external counsel, regulators, financial institutions, company secretaries, contractors, and business partners.
Projects & EPCC Contracts
- Draft, review, and negotiate EPCC contracts and major project/commercial agreements.
- Provide legal support throughout project development, construction, commissioning, and operations.
- Advise on contractual risks, warranties, indemnities, liabilities, variations, claims, and dispute resolution.
M&A, Investments & Financing
- Support M&A transactions, investments, strategic partnerships, and joint ventures, including legal due diligence and transaction execution.
- Review and negotiate transaction documents, including Share Purchase Agreements, Share Subscription Agreements, and Shareholders Agreements.
- Advise on corporate structuring, shareholder funding, project financing, and other financing arrangements.
- Support transaction closing and post-acquisition activities.
Regulatory Compliance & Dispute Management
- Advise on Malaysian corporate, commercial, infrastructure, energy, and investment laws.
- Support licensing, regulatory approvals, government submissions, and monitor relevant regulatory developments.
- Support commercial disputes, contractual claims, arbitration, mediation, and litigation matters in coordination with external counsel.
Legal & Contract Administration
- Maintain legal agreements, corporate documentation, and contract repositories.
- Track contractual obligations, corporate approvals, legal notices, and compliance requirements.
- Develop and maintain governance tools, compliance trackers, and operational guidelines for SPVs.
JOB QUALIFICARTIONS
- Bachelor of Laws (LLB) or equivalent recognized legal qualification and admission to the Malaysian Bar.
- 6–10 years of relevant legal experience, with a strong background in corporate and commercial law.
- Strong knowledge of Malaysian company law, corporate governance, and board administration.
- Experience drafting and negotiating complex commercial and corporate agreements.
- Familiarity with Shareholders Agreements, Joint Venture Agreements, EPCC contracts, financing agreements, and corporate structuring.
- Experience in infrastructure, energy, renewable energy, or project development is preferred.
- Experience in corporate governance, company secretarial matters, or SPV management is highly desirable.
- Exposure to M&A, joint ventures, project financing, and investment transactions is an advantage.
- Strong analytical, negotiation, and stakeholder management skills.
- Detail-oriented, commercially minded, and able to work independently while managing multiple priorities.
