We are currently seeking an experienced Legal Manager with a strong background in M&A, capital markets, and corporate legal matters.

Job Responsibilities:

  • Drafting, review, and negotiation of a wide range of corporate and commercial agreements, including but not limited to share sale and purchase agreements, joint venture agreements, shareholders agreements, supply and service contracts and consultancy agreements.
  • Provide strategic legal advice and support on corporate transactions, including mergers and acquisitions (M&A), investments, restructurings, and other business development initiatives.
  • Advise internal stakeholders on legal risks and implications relating to the company's operations, commercial arrangements, and regulatory matters.
  • Ensure legal compliance with applicable laws, regulations, and corporate governance standards across the company and its subsidiaries.
  • Liaise with relevant governmental authorities, external counsel, and consultants to support the company's business objectives.
  • Manage and coordinate due diligence exercises in collaboration with relevant departments.
  • Assist to manage legal aspects of group-wide projects, including regional expansion, joint ventures, and corporate structuring.

Job Requirements:

  • Candidate must possess at least a Bachelor's Degree in Law (LLB) or equivalent, and be a qualified lawyer admitted to the Bar.
  • Minimum 6 years of legal working experience, with at least 3 years in legal practice focusing on corporate and M&A transactions.
  • Strong knowledge of corporate, commercial, and contract law is essential; exposure to cross-border transactions and regional legal matters is an added advantage.
  • Proven experience managing complex legal documentation and negotiations independently.
  • Strong analytical, communication, and drafting skills, with the ability to work collaboratively across departments and with external stakeholders.
  • High level of professionalism, integrity, and sound judgment.
  • Ability to manage multiple priorities and deliver quality work under tight deadlines.
