Job Description

JOB PURPOSE

The Senior Executive will be responsible to provide support to the Manager/Deputy Senior Manager in handling corporate secretarial matters. This position will also need to ensure service excellence and on time delivery to clients.

JOB ACCOUNTABILITIES

Secretarial Support Services

  • Provide support to the Company Secretaries on the full range of secretarial compliance works and secretarial functions.
  • Drafting of resolution and statutory forms, upkeeping of statutory records and ensure compliance to the Companies Act 2016, Listing Requirements of Bursa Malaysia Securities Berhad (Bursa), Capital Markets and Services Act 2007, Malaysian Code on Corporate Governance and any amendments/updates thereto.
  • Convening of Board and Board Committee meetings on quarterly basis including coordination for meeting dates, compilation of agenda, issuance of notice, compilation and circulation of board papers, drafting decision and action items, drafting minutes and follow-up on updates for matters arising.
  • Assist in the preparation of Board papers and approval memorandum and ensure adherence to the internal Limits of Authority, Shareholders Agreement and Companies Act 2016.
  • Assist in the preparation of draft announcements and other documents for submission to Bursa.
  • Keep abreast of the recent changes to the Companies Act 2016 and any other updates from the Companies Commission of Malaysia.
  • Issuance of communication and correspondence with Management, external Company Secretary, regulatory authorities, auditors, shareholders and other stakeholders.
  • Provide full range of secretarial support in organising the Management Committees meetings held on a monthly/quarterly schedule or as and when required including coordination for meeting dates, compilation of agenda, issuance of notice, compilation and circulation of management papers, drafting decision and action items, drafting minutes and follow-up on updates for matters arising.
  • Assist and support the Company Secretaries on the full range of secretarial functions and any other task as and when assigned.

Stakeholder Management

  • Assist Company Secretaries in providing guidance to the trainee on secretarial practice and ensure accuracy and efficiency in the delivery of assignments.
  • Takes initiative in improving workflow and departments operations.
  • Attend to verbal and written enquiries, communication and correspondence from inter-group, intra-group, regulatory authorities, advisors, auditors, shareholders, stakeholders, registrar and public.
  • Works closely with the Company Secretaries and other relevant internal stakeholders to achieve UEM Sunrise Berhads objectives.
  • Liaison with Companies Commission of Malaysia (for statutory forms matters), external auditors (for all auditing matters) and other relevant external stakeholders.

ESSENTIAL QUALIFICATIONS & TECHNICAL COMPETENCES

Education: Bachelors Degree specialized in ICSA and an associate (at least a student) of MAICSA preferable.

Work Experience: 4 to 6 years in Corporate Secretarial experience.

Skills / Knowledge/ Qualifications :

  • Knowledge in Companies Act 2016.
  • Competency in spoken and written English and Bahasa Malaysia.
  • Possess good communication and strong interpersonal skills.
