How will you CONTRIBUTE and GROW

We are looking for a strategic and seasoned Senior Legal Counsel to join our management team. In this pivotal leadership role, you will act as a primary decision-maker on legal perspectives, providing high-level advisory on organizational, commercial, and operational matters. You will provide wide-spectrum legal support across a diverse portfolio, covering 60% support for Air Liquide & Southern Industrial Gas Malaysia and Brunei Oxygen, and 40% support for Global Business Services (GBS) and Cryogenic Tank Services Malaysia (CTS). This is a unique opportunity to lead legal operations within a dynamic environment involving APAC Procurement, IT, Finance, HR, and Logistics.

1) Strategic Leadership & Management:

  • Serve as a key member of the management team, advising on legal perspectives to meet strategic business objectives.
  • Directly supervise a local (Malaysia) legal counsel and oversee legal counsel based in Indonesia to guide them on commercial and operational matters.
  • Manage extensive stakeholder relationships across multiple jurisdictions, liaising closely with regional Legal teams.

2) Corporate Commercial & M&A:

  • Provide full-scale legal support for MA, utilizing strong contract drafting skills and managing cases alongside the M&A business team.
  • Lead the bidding process and be responsible for contract drafting, reviewing, and negotiation for business activities, project contracts, and asset deals.
  • Review and negotiate contracts, advise on corporate governance, and handle complex corporate legal projects.
  • Manage corporate legal projects and undertake other ad-hoc legal-related duties and assignments as requested.

3) Compliance, Regulatory & Dispute Resolution:

  • Champion ethics compliance, including providing fraud training and handling or coordinating the investigation of suspicious fraud cases.
  • Manage corporate secretarial matters and ensure adaptation of the law within the cultural/legal frameworks of both Malaysia and Brunei.
  • Handle disputes (independently or with external support) and represent the company in legal proceedings if litigation arises.
  • Monitor legal updates (legislation, cases, media releases) to ensure internal stakeholders are regularly updated on relevant matters.

4) Training & Development:

  • Conduct legal training and user training for internal stakeholders to enhance the quality of legal advice and process understanding.

Are you a MATCH

  • A Bachelor of Law (LLB) from a recognized institution is a must; an LLM is a plus. An overseas education background is preferred.
  • Admission to the Malaysian Bar or the Bar of any Common Law country is compulsory.
  • Possession of a secretary license to manage directorship matters is an added advantage.
  • Minimum of 12 years of experience in relevant areas such as corporate commercial law, regulatory law, and compliances; substantial experience in an industrial, manufacturing or oil and gas background is preferred.
  • Sophisticated legal skills and solid experience in M&A are strongly preferred.
  • Excellent command of spoken and written English, with the ability to communicate with stakeholders at all levels.
  • Strong business acumen and the ability to handle highly sensitive/confidential information with integrity.
  • Ability to manage multiple tasks, prioritize effectively, and work autonomously.
  • Travel is required only when dealing with local legal authorities as and when necessary.
