Aurex is partnering with a global firm in water management in search for a new headcount, Senior Legal Counsel based in KL, Malaysia or Singapore.
The Senior Legal Counsel is responsible for providing strategic, pragmatic, and business-oriented legal counsel to support growth, protect the Group's interests, and ensure compliance across multiple Asian jurisdictions.
Responsibilities
Strategic Legal Leadership
- Contribute to business strategy and decision-making with a strong focus on risk management, value creation, and long-term sustainability.
- Align regional legal strategy with Group legal policies, governance standards, and ethical principles.
Company secretarial activities and corporate governance :
- Manage all corporate and secretarial activities for the legal entities of the group in the Asia region, including drafting, in coordination with the other relevant functions and the support of external counsels where needed, of the legal documentation relating to (i) ordinary and extraordinary shareholders meetings; (ii) board of directors meetings; (iii) corporate transactions, such as acquisitions, sales, capital increases, mergers, demergers;
- Ensure that the corporate governance of the legal entities of the Group in the Asia region is compliant with the relevant law provisions and is consistent with the overall group corporate governance
- Support and advise the managing directors and the other functions of the legal entities of the Group in the Asia Region to ensure compliance with the applicable law provisions;
Commercial & Contractual Matters
- Lead and oversee all legal matters related to commercial contracts, including Engineering Procuring and Fabrication agreements (EPF), technology licensing, sales and supply agreements, distribution, and service contracts.
- Support complex negotiations with customers, partners, suppliers, and public entities across Asia.
- Advise on M&A, joint ventures, strategic alliances, and restructuring initiatives in the region.
Compliance
- Work with the Chief Legal Officer and the Group Compliance Manager on compliance matters, including implementation at local level of the global policies adopted at corporate levels, including anti-bribery policies, export control procedures, whistleblowing policy, competition/antitrust, data privacy, and ESG-related requirements.
- Oversee internal investigations, compliance programs, and training initiatives tailored to regional risks.
- Monitor legislative developments impacting the Group's Division and proactively advise leadership on potential impacts.
Dispute Resolution & Litigation Management
- Manage and coordinate litigation, arbitration, and dispute resolution matters across Asia, working with external counsel where required.
- Develop strategies to minimize legal exposure and resolve disputes efficiently and commercially.
Qualifications
- Law degree from a recognized university; admission to practice law in at least one jurisdiction.
- Minimum 10 years of progressive legal experience, including senior in-house roles within multinational industrial, energy, infrastructure, or technology-driven organizations.
- Strong experience in Asia, with demonstrated ability to operate across multiple legal systems and cultures.
- Proven track record in complex commercial, EPF contracts and cross-border transactions;
- Experience in the water, energy, industrial, or environmental technology sectors is required.
