We are partnering with an established private markets investment manager / General Partner to appoint a senior legal professional to join its legal team in Malaysia.
This opportunity is particularly well suited to an experienced salaried partner, counsel or senior private practice lawyer who is looking to transition in-house while continuing to work on sophisticated investment funds, fundraising and transactional matters.
Reporting directly to the Head of Legal, the successful candidate will become a senior member of an established legal function and work closely with investment professionals, senior management and external stakeholders across the platform.
Responsibilities
- Taking a leading role in the firm's fundraising and fund-related legal work, including fund structuring, establishment, closings and ongoing fund operations.
- Reviewing and negotiating key fund documentation, including limited partnership agreements, subscription documentation, side letters, investor arrangements and related agreements.
- Advising on investor negotiations and working closely with internal stakeholders and external counsel throughout fundraising processes.
- Supporting the legal aspects of investments, acquisitions, disposals, joint ventures, restructurings and other strategic transactions.
- Advising the investment team on transaction structuring, documentation and execution.
- Reviewing and negotiating a broad range of corporate and commercial agreements relating to the firm's operations.
- Supporting corporate governance matters across the GP, funds and related investment structures.
- Advising senior management and business stakeholders on legal risk and providing commercially practical solutions.
- Managing and coordinating external legal advisers across multiple jurisdictions.
- Supporting the Head of Legal on strategic, regulatory and organisational matters affecting the broader investment platform.
- Acting as a senior legal resource within the team and contributing to the continued development of the firm's internal legal capabilities.
Requirements
The ideal candidate will be an experienced lawyer operating at approximately Salaried Partner, Counsel or equivalent senior level, with a strong background in one or more of the following areas:
- Investment funds / private funds
- Private equity or alternative investment management
- Fundraising and investor-side documentation
- Corporate / M&A
- Private equity transactions
- General corporate and commercial advisory
Candidates are likely to have developed their career within a leading international or well-regarded Malaysian law firm, with substantial experience advising sophisticated institutional clients, investment managers or private equity sponsors.
