Position Summary
We are seeking a highly motivated, hands-on Senior Legal Manager to join the Vinda SEA legal team and play a key role in supporting the Organization's growth strategy. Based at our regional headquarters in Bandar Bukit Raja Klang (next to Setia Alam), you will work closely with various functions (including sales, procurement, supply chain, IT) in Malysia and the greater SEA region. You will be responsible for:
- the effective and efficient provision of legal advisory services and ensuring effective management of legal and contractual risks for the Organization's operations;
- supporting the day-to-day legal operations of the Organization independently, with appropriate escalation as required.
The role requires a proactive, commercially-minded lawyer who can operate autonomously, take full ownership of matters end-to-end, mitigate legal risks, and deliver sound practical and risk-calibrated advice while ensuring compliance across all jurisdictions in a fast-paced FMCG/manufacturing environment.
You will play an important role to:
1) Commercial Contracts & General Legal Support
- Draft, review and negotiate a broad range of general corporate commercial contracts to support the Organization's business (including sale and purchase trading terms, export sales contracts, distribution agreements, Intellectual Property related matters, procurement and logistics contracts), with a view to provide sound practical legal advice to finalise contracts and protect the interests of the Organization.
- Update and develop standard contract templates and forms with standard conditions of contract to drive efficiency and consistent risk management.
- Provide advice on legal issues such as vendor registration process, Code of Conduct and sanctions.
2) Litigation Management
- Strategise and manage contentious/litigious matters, with external counsel where required.
- Review and closely monitor progress of any disputes.
- Strategise any settlement negotiations with relevant business teams.
- Manage external counsel closely with eye on budget and cost control.
3) Corporate Governance, Compliance & Regulatory Matters
- Provide legal advice and support on corporate governance, regulatory and compliance issues including licensing requirements and import / export issues.
- Ensure compliance with laws across multiple SEA markets and monitor legislative changes.
4) Corporate Secretarial & Board Administration Matters
- Draft and review corporate secretarial documents including preparing and reviewing resolutions, minutes of meetings in compliance with regulatory requirements.
- Coordinate with the internal or external company secretary to ensure timely and accurate filings.
- Update and maintain internal statutory records and registers.
5) Legal Operations
- Drive implementation of internal legal policies, SOPs and guidelines.
- Provide legal updates, conduct legal training.
- Lead and/or support Legal functional initiatives. Any ad hoc projects as assigned.
Requirements & Key Attributes:
- Law degree from a reputable university. Admitted to the Malaysian bar or another Commonwealth jurisdiction.
- Minimum twelve (12) years PQE, with solid experience from a reputable law firm and in-house role in an MNC. Prior experience in manufacturing and/or FMCG industries with exposure to regional work and familiarity across SEA markets highly preferred.
- Strong academic record, analytical, drafting and research skills.
- Demonstrated ability to:
(i) Take ownership and drive matters from start to closure.
(ii) Manage competing priorities effectively in a fast-paced environment and meet tight
deadlines when required.
(iii) Work independently with minimal supervision, and also collaboratively in a team-based
structure.
(iv) Provide clear, practical and legally sound advice, balancing legal precision with business
objectives.
