Job Description

  • Manage and oversee full spectrum of company secretarial duties for public and/or private companies.
  • Ensure compliance with the Companies Act 2016, SSM, Bursa Malaysia Listing Requirements (if applicable), and other regulatory bodies.
  • Prepare, review, and lodge statutory documents, resolutions, annual returns, and filings with SSM and Bursa within stipulated timelines.
  • Advise the Board of Directors and management on corporate governance, regulatory compliance, and statutory obligations.
  • Organise and attend Board Meetings, Board Committees Meetings, AGM/EGM; prepare agendas, board papers, minutes, and follow-up actions.
  • Handle corporate exercises such as:
  • Incorporation of companies
  • Share allotments, transfers, bonus issues
  • Mergers & acquisitions
  • Restructuring and winding-up matters
  • Act as the main liaison with regulators, auditors, legal advisors, bankers, and external company secretarial firms.
  • Supervise, guide, and review work of junior company secretarial staff.
  • Maintain and update statutory registers, records, and corporate documents.
  • Monitor changes in legislation and advise on impact to the company.

Requirements

  • Member of MAICSA or equivalent professional qualification.
  • Bachelor's Degree in Law, Corporate Administration, Business, or related field.
  • Minimum 58 years of relevant company secretarial experience.
  • Strong knowledge of Malaysian corporate laws and regulatory framework.
  • Experience handling listed companies is an added advantage.
  • Excellent communication, organisational, and leadership skills.
  • High level of integrity, attention to detail, and ability to work independently.

Preferred Skills

  • Familiar with e-Lodgement systems (SSM MyCoID, MBRS).
  • Strong drafting and advisory skills.
  • Ability to manage multiple portfolios and deadlines.
  • Leadership experience in managing a team.
