ROLE OVERVIEW
This role is responsible for ensuring the Company's compliance with statutory, regulatory, and corporate governance requirements. The Company Secretary acts as a key advisor to the Board and Management on governance matters, supports effective decision-making, and ensures that corporate records, filings, and shareholder matters are properly managed in accordance with applicable laws and best practices.
KEY RESPONSIBILITIES
- Ensure compliance with the Companies Act, applicable corporate governance codes, and relevant regulatory requirements.
- Prepare, maintain, and update statutory registers, corporate records, and regulatory filings with relevant authorities.
- Organize, coordinate, and attend Board, Board Committee, and Shareholder meetings, including preparation of agendas, minutes, resolutions, and follow-up action items.
- Advise the Board and Management on corporate governance best practices, statutory obligations, and regulatory developments.
- Act as the primary liaison with regulators, auditors, company secretarial firms, and external legal or professional advisors.
- Manage shareholder-related matters, including share transfers, dividend distributions, and maintenance of shareholding records.
- Monitor, interpret, and stay up-to-date with changes in relevant legislation, regulations, and industry practices to ensure ongoing compliance.
WHAT DOES IT TAKE TO BE SUCCESSFUL
Qualifications
- Professional qualification in Company Secretarial studies (e.g., ICSA / MAICSA or equivalent) preferred.
- Membership with a recognized professional body is preferred.
Work Experience
- 5 years + of relevant experience in a corporate secretary or company secretarial function.
- Strong understanding of corporate governance frameworks, statutory requirements, and regulatory compliance.
- Experience working with Boards, senior management, and external stakeholders such as regulators and auditors.
