Role Overview

Although this position is administratively based in Gradiant's Malaysian subsidiary, the Company Secretary Executive will be an integral member of the Gradiant Group Legal and Compliance Team (Group Legal Team). The role will support the Group Legal Team in providing global corporate secretarial support across the Gradiant Group of Companies (the Group).

The Company Secretary Executive will primarily support the in-house Company Secretary in Malaysia and across South-East Asia, while contributing to the implementation of the Group's governance and compliance framework.

Reporting Line & Work Arrangement

This role is based in Puchong, Selangor. The successful candidate will report directly to and work closely with the Group Company Secretary (based in Singapore).

The candidate must be able to work effectively with senior leadership teams in Malaysia and across South-East Asia, while carrying out responsibilities as a member of the Group Legal Team. The role requires a clear understanding of the distinction between administrative placement in Malaysia and substantive functional reporting to the Group Legal Team.

Candidate Profile

The ideal candidate should possess the following:

  1. Minimum 35 years experience (Semi-Senior), or 5+ years experience (Senior) in a similar role within the corporate secretarial field. Candidates with an accounting background are acceptable.
  2. Strong understanding of the Malaysian Companies Act, relevant regulations, and best practices relating to company secretarial duties, with the willingness to acquire regulatory knowledge beyond Malaysia.
  3. Good communication and interpersonal skills, with the ability to interact effectively with internal and external stakeholders.
  4. A proactive, solutions-oriented mindset with strong attention to detail.
  5. Strong organisational and time-management skills, with the ability to prioritise tasks and work under pressure.
  6. Ability to work in a fast-paced environment while maintaining high standards of confidentiality, accuracy, and compliance.
  7. ICSA qualification or possession of an Advanced / Higher / Graduate Diploma or Bachelor's Degree in Corporate Administration or equivalent will be an added advantage.

Core Responsibilities and Tasks

The Company Secretary Executive will be responsible for, but not limited to, the following:

  • Assisting the Group Company Secretary in all corporate secretarial matters, including preparation and maintenance of company records, filing of statutory returns, and coordination of board and shareholder meetings.
  • Ensuring compliance with all applicable laws, regulations, and corporate governance requirements.
  • Providing guidance and support to management on corporate governance-related matters.
  • Liaising and collaborating with internal and external stakeholders, including auditors, legal advisors, and government authorities.
  • Continuously reviewing and improving processes and systems to enhance efficiency and effectiveness.
  • Assisting with administrative work as assigned by the Group Legal Team.
  • Raising Purchase Requisitions in SAP and coordinating invoice processing and payment matters with external counsel and third-party service providers across all jurisdictions.

Position Requirements

Formal Education

  • Diploma or Bachelor's Degree from a recognised college or university.

Knowledge & Experience

  • Minimum 35 years of relevant working experience.
  • Language proficiency: English, Mandarin and/or Bahasa Melayu.
  • IT skills: Microsoft Office; SAP knowledge preferred.
