Role Description

The Head of Corporate Secretarial & Client Services (Group Company Secretary) is a senior leadership role responsible for overseeing the full delivery of corporate secretarial services, governance advisory, Board support, and client portfolio management. This position ensures that all statutory obligations are met, clients receive high‑quality advisory support, and the secretarial and client services teams operate with excellence, consistency, and professionalism.

The role combines technical corporate secretarial expertise, client relationship leadership, Board governance responsibilities, and operational management, making it central to the firm's service quality and reputation.

Key Responsibilities

  • Oversee the full spectrum of corporate secretarial functions for a portfolio of local and foreign companies.
  • Ensure compliance with the Companies Act 2016, SSM requirements, and relevant regulatory frameworks.
  • Review and approve statutory documents, resolutions, annual returns, and corporate updates.
  • Maintain high standards of accuracy, timeliness, and governance integrity across all deliverables.
  • Coordinate and attend Board, Board Committee, and shareholder meetings.
  • Review and prepair agendas, Board papers, minutes, and action trackers.
  • Ensure proper conduct of AGMs/EGMs in accordance with statutory requirements.
  • Advise directors and senior management on governance, compliance, and procedural matters.
  • Serve as escalation point for complex client matters and governance queries.
  • Build long‑term client relationships through proactive communication and strategic guidance.
  • Lead, mentor, and develop the Corporate Secretarial and Client Services teams.
  • Establish SOPs, quality standards, and workflows to ensure consistent service delivery.
  • Monitor regulatory changes and ensure timely updates to internal processes and client advisories.
  • Implement best‑practice governance frameworks and service standards across the department.

Qualifications

  • ICSA/CGI qualification or MAICSA membership (full or finalist).
  • Minimum 8–12 years corporate secretarial experience, with at least 3–5 years in a managerial or leadership role.
  • Strong technical knowledge of Companies Act 2016, SSM guidelines, and governance practices.
  • Proven experience managing client portfolios and delivering advisory‑driven services.
  • Excellent communication, stakeholder management, and problem‑solving skills.
  • Strong leadership capability with a track record of developing high‑performing teams.
  • Proficiency in English; Mandarin is an advantage for client communication.
