Summary:
The Project Finance and Transaction Investment Manager will be responsible for supporting the full cycle of project-level debt financing activities and other transactions (which may involve M&A, joint venture management, project sale, etc) for ib vogt APAC's renewable energy projects within APAC with immediate primary focus in the Philippines, Malaysia, and Indonesia.
This role requires a dedicated professional with proven ability to lead the execution of transactions, manage lender/investor relationships, and coordinate due diligence efforts to successfully achieve Financial Close.
Key Accountabilities:-
Project Financing:
- Model analysis: Work with portfolio management team to run sensitivity analysis, scenario testing, and covenant testing (e.g., DSCR, LLCR) for optimal debt sizing and structure.
- Lender identification: identify potential lenders suitable for each project (DFIs, commercial banks, Local banks, funds, etc).
- RFP Preparation: prepare comprehensive financing materials, including Teaser Memorandums, Information Memorandums, and presentations for prospective lenders
- Documentation lead: Review and negotiate key finance documents (Term Sheets, FA, Security Package), ensuring consistency with the financial model and deal strategy.
- Data Room Management: Manage the data room, coordinate the collection of all due diligence materials, and track the Q&A process to efficiently support Lenders Legal, Technical, E&S, Insurance, Model Audit Advisors.
- Regulatory Compliance: Monitor and ensure compliance with regional central bank requirements for foreign debt registration and reporting (if required).
- Maintain up-to-date knowledge of regional debt capital market conditions, pricing benchmarks, and key trends in project financing structures across APAC
- Risk Analysis: Assist in quantifying and structuring mitigation for key project risks, including FX risk (hedging strategies), construction risk, and regulatory changes
Transactions:
- Lead the end-to-end execution of transactions (which may involve M&A, joint venture management, project sale, etc). This includes preparing information memorandum, reviewing financial model, managing the virtual data room, and coordinating due diligence.
- Partner Management: Manage ongoing relationships with JV partners, ensuring corporate governance compliance and alignment on capital calls or project milestones.
- Capital Structuring and review transaction documents such as Sale and Purchase Agreements (SPA) and Shareholders Agreement
Requirements of This Role
- Bachelor's degree in Finance, Accounting, Economics, Engineering, or a related field. CFA is a plus.
- Minimum 5 years of relevant experience in Project Finance, Corporate Finance, Transaction Services, or a similar role within an infrastructure developer, commercial/investment bank, or big-four advisory firm.
- Regional Exposure: Demonstrated experience working on transactions (either execution or advisory) within the Southeast Asian region is highly advantageous.
- Strong understanding of project finance/transaction principles, financial accounting, and valuation methodologies.
- Excellent verbal and written communication skills in English are essential for drafting memoranda and interacting with international banks.
- Exceptional attention to detail and ability to handle complex, large datasets and legal documentation.
- Ability to work collaboratively with internal teams as well as external counsel and advisors.
- Proven ability to manage multiple work streams under tight deadlines and demonstrate a proactive approach to problem-solving.
- Proficiency in English is mandatory, both written and verbal.
