Legal and Compliance Counsel

About the role

Provide legal advice and support to the Group, its subsidiaries and affiliates, working closely with the Board of Directors, Group CEO and senior management.

Key Responsibilities

• Review, draft and negotiate commercial agreements, including distribution, supply, customer, tender, vendor, licensing and service agreements, ensuring appropriate protection of the Group's interests.
• Identify and manage legal and commercial risks and provide practical recommendations to support business objectives while ensuring compliance with applicable laws and regulations.
• Advise on corporate governance matters, including Board matters, corporate documentation, resolutions, statutory records and coordination with external company secretaries.
• Manage legal disputes, litigation, regulatory investigations and claims, including the engagement and management of external legal counsel where required.
• Advise on employment law, intellectual property, regulatory and other legal matters affecting the Group's operations.
• Provide legal support for mergers and acquisitions, corporate restructuring and other strategic business transactions, including due diligence and transaction documentation.
• Develop and implement legal and compliance policies, conduct compliance reviews and risk assessments, and provide legal and compliance training to employees.
• Monitor relevant changes in laws and regulations and advise management on their potential impact on the business.
• Perform other legal and compliance duties as required by the business.

About You

• Degree in Law from a recognized university and admitted to the Malaysian Bar, Singapore Bar or another recognized common law jurisdiction.
• 5–8 years of relevant legal experience, preferably with in-house and/or private practice experience.
• Strong experience in commercial contract drafting, review and negotiation.
• Experience in corporate governance, legal risk management and regulatory compliance.
• Experience in healthcare, medical devices, life sciences, distribution or related industries is an advantage.
• Strong analytical, negotiation and communication skills.
• Commercially minded with sound judgement and the ability to provide practical, business-oriented legal advice.
• Ability to work independently, manage multiple priorities and engage confidently with senior management and stakeholders.
