Job Description
Role Overview
We are seeking a commercially minded, independent, and highly collaborative Legal Counsel (5–7 years PQE) to join our regional legal team. Operating in a fast-paced luxury retail distribution environment, you will report directly to the Group Senior Legal Counsel in Singapore and work closely with executive management. You will be responsible for safeguarding the Group's commercial interests by drafting, reviewing, and negotiating a wide array of transactional and operational agreements across multiple jurisdictions.
Key Responsibilities:
- Core Contract Drafting & Review: Support the Group Senior Legal Counsel in structuring, drafting, and reviewing diverse commercial contracts to mitigate risk while achieving business objectives.
- Template Governance: Actively contribute to, develop, and regularly update the Group's key template agreements to ensure they remain robust, up-to-date with legislative changes, and commercially aligned.
- Policy & Compliance Review: Review, update, and refine Group policies from time to time to ensure ongoing legal compliance and operational best practices across all operating jurisdictions.
- Commercial & Transactional Negotiations: Take the lead or support on complex negotiations involving brand distribution agreements, supply agreements, cross-border service arrangements, shareholder agreements, and corporate joint venture exits.
- Mergers & Acquisitions (M&A): Play a key role in executing corporate transactions (including joint ventures) by drafting and negotiating transaction documents and coordinating signing, closing and post-closing integration.
- Specialized Legal Support: Manage, review, and negotiate technical contracts, with a heavy emphasis on data protection compliance and brand/intellectual property licensing across Asia
- Stakeholder Collaboration: Partner effectively and work independently with cross-functional internal teams, management, and brand partners across different countries.
- External Counsel Management: Strategically engage, brief, and manage external legal counsel on an as-needed basis for localized or highly specialized matters.
Qualifications & Requirements:
- Experience: 5 to 7 years of Post-Qualification Experience (PQE) either within a reputable law firm or as an in-house counsel (experience in retail, FMCG, or luxury sectors is highly regarded). Be qualified to practice law / hold professional legal qualifications in a common law jurisdiction.
- Technical Skills: Strong technical proficiency in drafting and negotiating commercial contracts, with proven exposure to data protection, IT procurement and IP licensing across different jurisdictions.
- Communication: Exceptional written and verbal communication skills, with a proven ability to read, write, and dissect complex legal prose clearly and concisely.
- Language Skills: Proficiency in spoken and written English is mandatory. The ability to speak and write Mandarin is highly advantageous to collaborate with stakeholders and manage documentation across Greater China markets.
- Working Style: Must be highly self-motivated and capable of working completely independently, as the successful candidate may be based in a different jurisdiction from the Group Senior Counsel. Despite the different work location, they must maintain strong proactive alignment, good communication and a highly collaborative approach with the Group Senior Counsel and cross border matrix teams.
