Job Description

Responsible for compliance of all company secretarial matters under the Companies Act 2016 and other related legislations, be cognizant and spur the implementation of best corporate governance practices and digital governance within the organization and the Group of companies, be vigilant of the compliance risks, and always be at the forefront with corporate development, internal governance, macro and micro factors impacting the organisation.

KEY RESULT AREAS / RESPONSIBILITIES

  • Prepare and review the annual statutory documents for lodgement with the authorities in a timely manner, maintaining up-to-date records, drafting all governance and board/shareholders written resolutions, keeping abreast with the latest developments/updates in laws and regulations as well as liaising with all parties, internally or externally.
  • Handle Boards and Shareholder matters as assigned, which include but are not limited to, organizing meetings, circulating the governance agenda, recording minutes of meetings, drafting resolutions, and preparing board papers (if any) and attending meetings held overseas.
  • To carry out the implementation of best corporate governance practices, such as all internal governance processes, structure and framework from time to time and to manage/lead digital governance and secretarial automation projects as assigned.
  • Be a team player for all departmental projects and initiatives, whether for compliance, governance, digitalization and technology transformation, risk management, corporate integrity and ethics.
  • Assist the Company Secretary in all governance matters such as Directors Onboarding Programme & Training, Annual Board Evaluation, ESG initiatives & reporting, Governance Structure and Framework, Corporate Disclosures and Continuous Learning in all Corporate Governance & Technology-related matters.

MINIMUM ACADEMIC/PROFESSIONAL QUALIFICATION

  • Candidate must possess a Bachelor's Degree in Administration/ Technology / Legal or other related fields; OR Professional Certification such as ICSA, MACS, etc with at least 5 years of experience in corporate secretarial practice or in-house company secretarial division.
  • Prior work experience in public listed companies and/or multi-national organizations with corporate secretarial practice, strategic governance, work stream digitalization and automation

RELATED EXPERIENCE

  • Exposure to the usage of company secretarial software, tools, board portals, Artificial Intelligence tools and systems.
  • Exposure in organizing in-house group trainings for Directors, Management and Staff at large.

  • Conversant with the requirements and provisions of the Companies Act 2016 and other relevant laws and regulations.
  • Able to work independently with minimum supervision.
  • Digitally forward and technology savvy. Innovative and creative in change management and problem-solving.
  • Meticulous with a strong sense of responsibility, with good planning skills.
  • Good inter-personal skill, tactful, pro-active and cheerful personality.
