Job Description

Key Responsibilities

  • Support the Senior Manager and/or Head of Department in the management and operation of the Corporate Secretarial function and contribute to the development of a competent, collaborative and high-performing team.
  • Lead, supervise, mentor and develop team members, including providing guidance, coaching and performance feedback.
  • Manage a portfolio of listed and non-listed companies within the Group and ensure compliance with applicable statutory, regulatory and governance requirements.
  • Organise and coordinate Board, Board Committee and shareholder meetings, including the preparation, review and distribution of meeting materials.
  • Attend meetings and prepare accurate minutes, resolutions and other corporate secretarial records, ensuring timely follow-up on decisions and action items.
  • Provide corporate secretarial, governance and regulatory advisory support to the Board, Board Committees and senior management.
  • Prepare and review annual report disclosures, corporate governance statements, Bursa Malaysia announcements, circulars to shareholders and other corporate secretarial documents.
  • Assist in the development and implementation of governance frameworks, policies and procedures, and ensure alignment with regulatory requirements and best practices.
  • Support corporate exercises, due diligence assignments, special projects and the compilation of statutory and corporate information.
  • Liaise with regulatory authorities, share registrars, auditors, legal advisers and other professional advisers, and ensure the proper maintenance of statutory records and corporate documents.

Job Requirements

  • ICSA qualification or equivalent professional qualification.
  • Minimum 8 years of relevant corporate secretarial experience, preferably with exposure to public listed companies.
  • Sound knowledge of the Companies Act 2016, Bursa Malaysia Main Market Listing Requirements, corporate governance principles and related regulatory requirements.
  • Experience in organising and attending Board, Board Committee and shareholder meetings, including drafting minutes, resolutions and other corporate secretarial documents.
  • Strong written and verbal communication skills in English and Bahasa Malaysia.
  • Proven leadership experience with the ability to supervise, coach and develop team members.
  • Good interpersonal and stakeholder management skills with the ability to engage effectively with directors, senior management and external advisers.
  • Proactive, organised and able to work independently while managing multiple priorities in a fast-paced environment.
  • A strong team player with a collaborative mindset and the ability to build effective working relationships across all levels of the organisation.
