Job Description

We are seeking a commercially minded Corporate / Commercial Senior Legal Associate to advise and support diverse portfolio of SME and corporate clients in Malaysia. The role will involve corporate transactions, commercial contracts, governance, company structuring, compliance and day-to-day business matters.

Qualifications

Bachelor of Laws degree, LL.B or equivalent.
10 years or above of experience in corporate and commercial
practice.
Admission as an Advocate and Solicitor in Malaysia is required.
Able to manage multiple assignments and work effectively within deadlines.
Strong command of written and spoken English and Bahasa Malaysia. Proficiency in Mandarin will be an advantage.
Experience drafting and negotiating commercial agreements.
Experience with corporate transactions, company restructuring, governance, or regulatory matters is an advantage.

Key Responsibilities

Manage a varied caseload for SME and corporate clients.
Draft, review and negotiate commercial agreements, contracts and other legal documentation.
Advise on corporate governance, shareholders rights and directors duties.
Assist with company incorporations, mergers and acquisitions, partnerships, joint ventures, corporate restructurings, share transfers and investments.
Liaise with clients, company secretaries, accountants, regulatory authorities and other relevant parties.
Conduct legal research and provide practical legal advice.
Manage deadlines, files, client communications and matter progress.
Support business development and maintain long-term client relationships.
