Associate, M&A & Capital Market
Key Responsibilities
[Specific]
- To handle or assist in handling capital market and M&A work referred by Chinese clients and pertaining to Malaysia subsidiary.
[Standard]
- To handle or assist in handling capital market related matters and matters in relation to the public listed companies in corporate exercises such as IPOs, rights issues, bonus issues, placement exercises etc.
- To handle or assist in handling legal advisory and regulatory matters including but not limited to provisions of legal advice or opinions for compliance with the securities laws, listing requirements and all other laws and regulations in Malaysia.
- To handle or assist in handling corporate and commercial matters including but not limited to mergers and acquisitions, joint ventures, corporate reorganisations, takeovers, privatisations and schemes of arrangement.
- To handle or assist in handling matters relating to preparation, revision, or negotiation of various legal documents including commercial contracts, corporate agreements or communications, companies constitutions, regulatory submission documents such as circulars, prospectuses, information memorandum and so on.
- Wherever required, to assist in managing various aspects of corporate exercises such as due diligence exercise as well as all incidental matters up to completion.
- Wherever required, to liaise with external parties and relevant authorities, and to maintain good relationships with clients by delivering satisfactory quality works and performing proactive client engagements.
Key Requirements
- Degree or postgraduate qualification in Law from a recognised university, with a valid Malaysian Bar Practising Certificate and minimum 2 years post-qualification experience (PQE).
- Possesses practical knowledge on mergers and acquisitions and capital markets.
- Competent in reading and writing Chinese language.
- Competent in drafting skills.
- An analytical thinker with strong conceptual and research skills and with a high level of accountability and responsibility.
- A personality with optimistic attitude, strong leadership and high social proficiency skill will be an added advantage.
- Able to lead and work independently with a high degree of professionalism and integrity.
