KEY RESPONSIBILITIES
Legal, Regulatory and Corporate Compliance
- Track and update on new or amendments to related legislation, and developments in case law and the legal sector in general.
- Reviewing and updating and where required formulating, TRXC's and its group of companies policies, procedures and guidelines on legal compliance, processes and procedures.
- Monitoring and advising on compliance matters.
- Advising on mitigation and corrective action required for any non-compliances.
- Support, advise on, implement and undertake necessary reporting on internal control reporting matters.
Legal and Contractual Arrangements
- Undertake the drafting, review, amendment, negotiation and finalisation of contractual documents and correspondences including Letter of Appointment, Letter of Award.
- Structuring of transactions in consultation with Supervisor/Management.
- Management and coordination of external legal counsels (local and foreign).
- Attend to the formalities to finalise and execute documents.
- Undertake legal and commercial risk assessment on contractual arrangements, and provisions or proposed provisions imposing liability.
- Undertake contract management of assigned contracts.
- Review and advise on queries on points of law, and contractual matters.
Dispute Resolution
- Generally, assist with the management and resolution of disputes and claims.
- Drafting or assist with the drafting of required documents, notices, pleading etc. and issuance of the same.
- Liaising with external legal counsel and counter party(ies).
- Compiling of documentation, preparation of case summary, chronology of events etc.
- Attending hearings as required.
General
- Undertake necessary legal research.
- Formulating template documents.
- Reviewing and proposing (including drafting) updates and improvements to existing template documents.
- Drafting of internal papers and documents e.g. Management, Board of Directors papers.
- Liaising and assist with the management of assigned stakeholder relationships.
- File management.
REQUIREMENTS
- LLB (Hons) from a reputable university and preferably, called to the Malaysian Bar with at least 7 years PQE.
- Experience in commercial and corporate contracts with expertise in property and real estate, construction or project matters.
- Excellent English language skills and sharp legal acumen.
- Minimum Bachelor's degree or equivalent.
