What You'll Do:
- Support the implementation and execution of the organization's governance and compliance oversight framework through effective governance practices, anti-bribery and corruption governance, delegated authority framework governance, related party transaction governance, monitoring, and governance assurance activities.
- The role is responsible supporting strong governance practices, promoting ethical conduct, enhancing internal control effectiveness, and ensuring governance and compliance requirements are effectively implemented across the organization in alignment with applicable regulatory expectations, internal governance standards, and company policies.
Compliance and Governance Advisory
- Provide day-to-day governance and compliance advisory support to business and support units on governance, integrity, and compliance-related matters including internal policies, governance standards, and control expectations.
- Support stakeholders in implementing governance-related regulatory requirements, internal governance standards, and governance controls.
- Collaborate with business and support units to identify, assess, and address governance and compliance-related issues and risks.
- Review and assess the adequacy and effectiveness of internal controls implemented by business and support units to manage governance and compliance risks.
- Support the implementation of governance-related initiatives, action plans, and remediation activities.
- Assist in cascading governance and compliance-related updates, requirements, and best practices to relevant stakeholders across the organization.
- Provide recommendations to strengthen governance controls and operational compliance practices.
Anti-Bribery and Corruption (ABC) Governance and Compliance
- Support implementation and ongoing enhancement of the organization's Anti-Bribery & Corruption (ABC) framework in accordance with applicable laws, guidelines, and internal governance standards.
- Conduct corruption risk assessments and support implementation of mitigation and remediation actions.
- Support oversight activities relating to gifts, hospitality, donations, sponsorships, conflict of interest declarations, and third-party due diligence processes.
- Monitor effectiveness of ABC controls and escalate identified issues, gaps, or potential misconduct where appropriate.
- Support development and delivery of awareness initiatives, trainings, and communication programs to strengthen ethical conduct and integrity culture across the organization.
- Conduct periodic reviews and assessments to evaluate effectiveness of ABC governance controls and processes.
- Support investigation reviews and follow-up actions relating to governance concerns or potential ABC breaches where required.
Delegated Authority Framework Governance
- Support governance and compliance oversight relating to the company's Delegated Authority Framework to ensure appropriate approvals and governance controls are implemented.
- Conduct periodic reviews and monitoring activities to assess adherence to delegated authority thresholds and approval requirements.
- Maintain and monitor delegated authority records, governance trackers, and related documentation.
- Identify governance gaps, unauthorized approvals, or control weaknesses and recommend corrective actions where appropriate.
- Provide guidance and support to business units on delegated authority governance requirements and approval processes.
Related Party Transactions (RPT) Compliance
- Support oversight and governance of Related Party Transactions (RPTs) in accordance with applicable regulatory requirements, accounting standards, and internal governance policies.
- Assist in maintaining the RPT register to ensure completeness, accuracy, and timely updates.
- Review and monitor RPT activities to identify potential governance concerns, conflicts of interest, or policy breaches.
- Support preparation of RPT reporting and governance documentation for Management and relevant governance committees.
- Coordinate with relevant stakeholders to ensure proper documentation, approvals, and governance processes are adhered to for RPT activities.
Monitoring and Reporting
- Execute governance and compliance monitoring and assurance activities across assigned focus areas.
- Assess effectiveness of governance controls and identify areas requiring improvement or remediation.
- Monitor remediation status of governance findings, compliance issues, audit observations, and action items to ensure timely closure.
- Support preparation of governance and compliance reports for Management and relevant governance committees, including governance observations, breaches, action plans, and remediation progress.
- Assist in tracking key performance indicators (KPIs) for the compliance program and identifying areas for improvement.
Policies, Frameworks & Governance Standards
- Support development, implementation, enhancement, and periodic review of governance and compliance-related policies, frameworks, standards, and procedures.
- Ensure governance documents remain updated and aligned with internal governance standards and applicable regulatory expectations.
- Support policy governance processes including policy review coordination, stakeholder engagement, approval documentation, and communication activities.
- Assist in driving continuous improvement initiatives relating to governance and compliance practices.
Stakeholder Management & Compliance Culture
- Build and maintain effective working relationships with business, operational, legal, risk, audit, and support stakeholders.
- Promote awareness of governance, integrity, ethical conduct, and compliance responsibilities across the organization.
- Support delivery of guidance and training to employees on governance and compliance-related matters including implementation of governance controls and internal policies.
- Support a positive governance and compliance culture through proactive engagement and awareness initiatives.
Others
- Support the execution of the annual Compliance Plan and governance initiatives.
- Stay abreast of emerging governance trends, regulatory developments, and industry best practices relevant to fintech and digital financial services.
- Support governance committee reporting and governance-related initiatives where required.
- Coordinate with relevant stakeholders to ensure timely closure of audit findings and governance action items.
- Undertake any other assignments as requested by the immediate supervisor, Head of Compliance, or Management.
Role Requirements:
Qualifications
- Bachelor's Degree in Law, Banking, Finance, Business, Risk Management, Governance, or related disciplines.
- Minimum 5 years of relevant working experience in Governance, Compliance, Risk Management, Audit, or related functions, preferably within financial services, fintech, banking, or regulated institutions.
- Experience in Anti-Bribery & Corruption (ABC), Related Party Transactions (RPT), Delegated Authority governance, governance monitoring, or governance assurance activities would be an added advantage.
- Experience in stakeholder management and cross-functional collaboration within a regulated environment is highly preferred.
Knowledge & Competencies
- Good understanding of governance frameworks, internal controls, and compliance risk management practices.
- Good understanding of applicable regulatory and governance expectations within the financial services industry.
- Strong analytical, problem-solving, and organizational skills.
- Good communication, report writing, presentation, and stakeholder management skills.
- Ability to exercise sound judgment and provide practical governance and compliance recommendations.
- High level of integrity, professionalism, and ethical conduct.
- Ability to work independently and manage multiple priorities in a fast-paced environment.
