Legal Advisory & Risk Management
- Lead the drafting, review, and negotiation of legal documents (contracts, agreements, terms, etc.), ensuring alignment with business objectives while safeguarding the company's legal and commercial interests.
- Provide strategic, commercially focused legal advisory to business units and senior management on risk management, regulatory compliance, and commercial decision-making.
- Oversee and manage litigation and dispute resolution matters, including representation in consumer tribunals and coordination with external counsel.
Corporate Governance & Compliance
- Lead and oversee the company's corporate governance and compliance frameworks, ensuring alignment with regulatory requirements, internal policies, and best practices, including MCCG and Bursa Listing Requirements.
- Manage and supervise the company secretarial function, including Board and Board Committee processes, ensuring timely and accurate board papers, resolutions, and statutory filings.
- Advise the Board and senior management on governance matters, including directors duties, conflicts of interest, and regulatory developments.
- Drive the implementation and continuous enhancement of governance policies, including Code of Conduct, ABAC, and other compliance frameworks.
- Act as the key liaison with regulators, relevant authorities, and key stakeholders, ensuring proactive compliance and effective stakeholder engagement.
- Lead the Legal and Corporate Governance function within a listed company environment, delivering strategic, commercially focused legal advisory to senior management and the Board.
- Oversee corporate governance and compliance frameworks, including Board and Board Committee processes, in line with MCCG and Bursa Listing Requirements.
- Drive the negotiation and execution of complex commercial agreements while proactively identifying and mitigating legal and regulatory risks.
- Oversee and manage litigation and external counsel, and act as the key liaison with regulators, relevant authorities, and key stakeholders.
- Partner closely with senior management and business units to support strategic objectives while upholding strong legal and governance standards.
- Provide leadership, supervision, and development of the Legal team to ensure high-quality, consistent, and business-aligned legal support.
Qualification
- Bachelor's degree of Law [LLB Hons] or a related field.
Desired experience/exposure
- Minimum of 12- 15 years for Senior Managers with recent relevant work experience in Corporate Legal & Governance
- Experience in a listed company environment and/or public sector exposure is an added advantage.
- Experience in the IT/technology industry is preferred.
- Experience advising senior management and/or Board-level stakeholders.
- Strong exposure to corporate governance practices, including MCCG and Bursa Listing Requirements.
- Proven experience in leading or supervising a legal team.
